Rose Rock Midstream LPwas formed in August, 2011. It is a growth-oriented Delaware limited partnership formed by SemGroup Corporation to own, operate, develop and acquire a diversified portfolio of midstream energy assets. It is engaged in the business of crude oil gathering, transportation, storage, distribution and marketing in Colorado, Kansas, Louisiana, Montana, New Mexico, North Dakota, Oklahoma, Texas and Wyoming. The Company serves areas that are experiencing production growth and drilling activity through its exposure to the Bakken Shale in North Dakota and Montana, the Denver-Julesburg Basin and the Niobrara Shale in the Rocky Mountain region, and the Granite Wash and the Mississippi Lime Play in the Mid-Continent region. The Company competes for crude oil volumes with other midstream operators, including Plains All American Pipeline, L.P. and Eighty Eight Oil LLC. On December 14, 2011, the Company completed an initial public offering, in which it sold common units representing limited partner interests. Its operations are subject to varying degrees of stringent and complex laws and regulations by multiple levels of government relating to the production, transportation, storage, processing, release and disposal of crude oil, crude oil-based products and other materials or otherwise relating to protection of the environment, safety of the public and safety of employees.
