The following are the M&A deals, rumors and chatter circulating on Wall Street for Monday February 13, 2012: SeraCare Announces Definitive Agreement to be Acquired by Linden Capital Partners The Deal:
SeraCare Life Sciences SRLS announced Monday that it has entered into a definitive agreement to be acquired by an affiliate of Linden Capital Partners, a Chicago-based private equity firm that focuses on middle market leveraged buyout investments in the healthcare and life science industries. Under the terms of the agreement, holders of outstanding shares of common stock of SeraCare will receive $4.00 per share, representing a 25% premium to the 30-day volume-weighted average stock price. The agreement was unanimously approved by SeraCare's Board of Directors. The transaction is expected to close in the second quarter of calendar year 2012 SeraCare Life Sciences closed at $3.94 Monday, a gain of 10.06% on 330 times the average daily volume. The Ensign Group Acquires Portland Home Health Agency The Deal:
The Ensign Group ENSG announced Monday that an Ensign subsidiary has acquired Connected Home Health, a small home health agency based in Portland, Oregon. The asset acquisition was effective as of February 10, 2012. Ensign purchased the agency, formerly known as Portland Home Health, with cash and expects the transaction to be mildly accretive to earnings in 2012. Ensign Group closed at $26.41, a loss of 0.26% for the day on 1.3 time the average daily volume. Nexans Acquires AmerCable Holdings The Deal:
Nexans (NXPRF) has agreed to acquire AmerCable Holdings, the #1 producer of primarily Mining, Marine Oil & Gas and other industrial cables, including Renewable Energy, in North America for $275 million (€211m). Closing is expected to take place on February 29, 2012. Dover to Acquire Maag Group The Deal:
Dover Corporation DOV announced today that it has signed a definitive agreement to acquire the Maag Group. Maag, which is headquartered in Zurich, Switzerland, will be part of Downers Grove, Illinois based Pump Solutions Group within the Fluid Solutions platform of Dover's Engineered Systems segment. Terms of the transaction were not disclosed. Dover closed at $66.04 Monday, a gain of 2.37% for the day on 67% of the average daily volume. Valeant Pharmaceuticals to Acquire Eyetech The Deal:
Valeant Pharmaceuticals VRX announced Monday that it has agreed to acquire Eyetech, for an upfront payment and potential future milestones that total significantly less than two times sales. Eyetech currently markets Macugen in the United States, the first anti-VEGF inhibitor approved for the treatment of wet age-related macular degeneration. The transaction is expected to be immediately accretive. Valeant Pharmaceuticals closed at $48.45 Monday, a gain of 1.13% for the day on 1.2 times the average daily volume. Neptune Technologies Acquires Common Shares of Acasti Pharma The Deal:
Neptune Technologies & Bioressources NEPT announced Monday that on February 10, 2012 it acquired 750,000 newly issued Class "A" common shares in the capital of Acasti Pharma, a subsidiary of Neptune. The Shares were acquired at a price of $1.33 CAD per Share for an aggregate consideration of $1,000,000 CAD pursuant to a subscription agreement entered into with Acasti which contained customary terms and conditions. The Subscription Agreement was entered into as part of a private placement of Shares pursuant to which Acasti raised approximately $2,000,000 CAD. Neptune Technologies closed at $2.62 Monday, a gain of 1.55% for the day on 80% of the average daily volume. BP to Acquire Cimarex Energy The Rumor:
BP BP to acquire Cimarex Energy XEC for $90 per share, according to sources. A BP spokesperson would not comment on the rumor. A Cimarex spokesperson could not be reached for comment. Cimarex Energy closed at $67.14 Monday, a gain of 0.46% for the day on 1.3 times the average daily volume. General Dynamics to Acquire Textron The Rumor:
General Dynamics GD to acquire Textron TXT for $38 per share, according to sources. Benzinga spoke with representatives from both General Dynamics and Textron, but neither would comment on the rumor. Textron closed at $28.04 Monday, a gain of 4.01% for the day on 1.3 times the average daily volume. Acme Packet Getting Bids The Rumor:
Acme Packet APKT is getting bids from interested parties, according to sources. Acme Packet is looking for no less than $45 per share. The company has been the discussion of takeover chatter on several occasions. Acme Packet would not comment on the rumor. Acme Packet closed at $34.20 Monday, a gain of 5.10% for the day on slightly less than the average daily volume. Hearing Takeover Chatter in Royale Energy The Rumor:
Royale Energy ROYL had renewed takeover chatter on Monday. A spokesperson for Royale Energy could not be reached for comment. Royale Energy closed at $5.36 Monday, a gain of 18.06% for the day on 4 times the average daily volume.
