United Parcel Service UPS and TNT Express (TNTEY) today jointly announce that they have reached agreement on a recommended all-cash public offer of €9.50 per ordinary share by UPS for TNT Express. TNT Express' Executive and Supervisory Boards unanimously intend to support and recommend the Offer. TNT Express closed at $12.42 Monday, a gain of 2.81% on 401,000 shares. UPS hit a new 52 week high of $81.79 Amazon.com to Acquire Kiva Systems The Deal:
Amazon.com AMZN announced Monday that it has reached an agreement to acquire Kiva Systems. “Amazon has long used automation in its fulfillment centers, and Kiva's technology is another way to improve productivity by bringing the products directly to employees to pick, pack and stow,” said Dave Clark, vice president, global customer fulfillment, Amazon.com. “Kiva shares our passion for invention, and we look forward to supporting their continued growth.” Under the terms of the agreement, which has been approved by Kiva's stockholders, Amazon will acquire all of the outstanding shares of Kiva for approximately $775 million in cash, as adjusted for the assumption of options and other items. Subject to various closing conditions, the acquisition is expected to close in the second quarter of 2012. Amazon.com closed at $185.52 Monday, a gain of 0.25% on 67% of the average daily volume. Zayo Group to Acquire AboveNet The Deal:
Zayo Group and AboveNet ABVT announced Monday that their boards of directors have approved a definitive agreement under which Zayo will acquire AboveNet for approximately $2.2 billion. Under the terms of the agreement, each share of AboveNet common stock issued and outstanding immediately prior to the transaction will be entitled to receive $84.00 per share in cash, representing a 13% premium over AboveNet's closing price on March 16, 2012 and a 21% premium over the average closing stock price for the past 60 days. The transaction, subject to customary approvals, is expected to close in mid 2012. AboveNet closed at $83.74 Monday, a gain of 12.78% on 30 times the average daily volume. TaylorMade-adidas Golf Company to Acquire Adams Golf The Deal:
The adidas Group and Adams Golf ADGF announced Monday that the TaylorMade-adidas Golf business segment has entered into a definitive agreement to acquire all of the outstanding shares of Adams Golf for $10.80 per share in cash. The transaction value is approximately $70 million (approximately € 53 million), which represents a premium of approximately 71% to the share price prior to Adams Golf's announcement that it was examining strategic alternatives on January 4, 2012. Adams Golf closed at $10.75 Monday, a gain of 9.03% on 38 times the average volume. Misys Agrees To Be Bought By Vista Equity Partners The Deal:
Misys Plc (MUSJF) agreed Monday to be acquired by private equity firm Vista Equity Partners for 1.27 billion pounds ($2 billion). Vista offered 350 pence in cash for every Misys share. The offer price represents a premium of 32.15% over the average closing price of Misys share in the three-month period to February 2. Misys closed at $5.60 Monday, a gain of 12% on average volume. Elephant Talk Acquires the Assets of Ensercom The Deal:
Elephant Talk Communications ETAK announced Monday that it has completed the acquisition of the assets of Ensercom, a German based Mobile Virtual Network Enabling company. Ensercom, as a wholesale partner, hosts Mobile Services in the network of Telekom Deutschland and the contract has recently been renewed. Telekom Deutschland is Germany's largest telephone company serving 23.4 million fixed line and 35.4 million mobile customers. The renewed agreement is effective immediately. Elephant Talk closed at $32.29 Monday, a loss of 0.43% on average volume. 8x8 is Takeover Target Says Seeking Alpha Article The Rumor:
Cloud computing company 8x8 EGHT is a takeover target, according to an article in Seeking Alpha. A company spokesperson told Benzinga the company would consider a takeover if the deal was right. 8x8 closed at $3.89 Monday, a loss of 0.26% on 1.6 times the average daily volume. Zynga in Talks to Acquire OMGPOP The Rumor:
Zynga ZNGA is in talks to buy Draw Something publisher OMGPOP for up to $200M, according to sources. A spokesperson for Zynga would not comment on the rumor. An OMGPOP spokesperson was not available for comment. Zynga closed at $13.24 Monday, a gain of 1.61% on half the average daily volume. Hearing Murphy Oil Hires Deutsche Bank The Rumor:
Murphy Oil MUR has hired Deutsche Bank to explore strategic alternatives, according to sources. The company's CEO, William C. Nolan, passed away on March 12. A spokesperson for Murphy Oil was not available for comment. Murphy Oil closed at $59.84 Monday, a gain of 1.99% on 1.3 times the average daily volume. Hearing Aurizon Receiving Merger Offers The Rumor:
