TORONTO, Dec. 10, 2020 /CNW/ - The Green Organic Dutchman Holdings Ltd. (the "Company" or "TGOD") TGOD TGODF, a leading producer of premium certified organically grown cannabis, is pleased to announce that it has closed its previously announced short form prospectus offering, on a firmly underwritten basis, including the full exercise of the underwriters' over-allotment option. A total of 45,178,900 units of the Company (the "Units") at a price per Unit of C$0.28 were issued for aggregate gross proceeds of approximately C$12.65 million (the "Offering"). The Offering was conducted by Canaccord Genuity Corp. and Mackie Research Capital Corporation.

Each Unit is comprised of one common share (a "Common Share") and one Common Share purchase warrant of the Company (a "Warrant"). Each Warrant entitles the holder to acquire one Common Share for a period of 60 months from closing of the Offering at an exercise price of C$0.35 per Warrant. The Warrants have been conditionally approved for listing by the Toronto Stock Exchange and are expected to begin trading on or about December 16, 2020 under a symbol to be determined by the Toronto Stock Exchange, subject to final approval of the exchange.

The Company will use the net proceeds of the Offering for working capital and general corporate purposes.
