AMC Networks Announces Pricing of $600 Million of 4.75% Senior Notes

today announced that it has priced a public offering of $600 million in aggregate principal amount of 4.75% Senior Notes due 2022 (the "Senior Notes"). The offering is expected to close on December 17, 2012, subject to customary closing conditions. AMC Networks intends to use the proceeds of the offering to repay the entire outstanding amount under its term loan B facility in an amount equal to approximately $587.6 million and to pay fees and expenses related to the offering, with the remaining proceeds to be used for general corporate purposes. AMC Networks has filed an automatic shelf registration statement on Form S-3 (including a prospectus) with the United States Securities and Exchange Commission which became effective immediately, and a preliminary prospectus supplement under the registration statement, pursuant to which AMC Networks is offering and selling the Senior Notes. The preliminary prospectus supplement and accompanying prospectus describe the terms of the offering. BofA Merrill Lynch, J.P. Morgan, Barclays, BNP PARIBAS, Citigroup, Credit Agricole CIB, Credit Suisse, Deutsche Bank Securities, Goldman, Sachs & Co., Guggenheim Securities, Morgan Stanley, RBC Capital Markets, RBS, Scotiabank, SunTrust Robinson Humphrey, UBS Investment Bank and US Bancorp will act as joint book-runners for the offering.
