SBD Capital Corp. Announces Closing of Private Placement

TORONTO, June 06, 2018 (GLOBE NEWSWIRE) -- SBD Capital Corp. (the "Company") SBD is pleased to announce that it has completed a non-brokered private placement through the issuance of 1,000,000 units ("Units") at a price of $0.32 per Unit for aggregate gross proceeds of $320,000 (the "Offering").

Each Unit is comprised of one common share (a "Common Share") of the Company and one Common Share purchase warrant ("Warrant"). Each Warrant entitles the holder thereof to purchase one Common Share for a period of one (1) year from the closing of the Offering at a price of $0.50 per Common Share.  

All securities issued in connection with the Offering are subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation. Proceeds of the Offering will be used for general working capital purposes.

In addition, the Company announces that it has granted 2,400,000 stock options to certain officers, directors and consultants at a exercise price of $0.32 for a term of 3 years.
