SeraCare Shareholders Approve Acquisition by Linden Capital Partners

SeraCare Life Sciences, Inc. SRLS announced that, at a special meeting of shareholders held today, its shareholders voted to adopt the merger agreement with Project Plasma Holdings Corporation and Project Plasma Merger Corp., affiliates of Linden Capital Partners. Linden Capital Partners is a Chicago-based private equity firm that focuses on middle market leveraged buyout investments in the healthcare and life science industries. Under the terms of the merger agreement, holders of outstanding shares of common stock of SeraCare will receive $4.00 per share. The transaction is expected to close on Friday, April 20, 2012 after the close of business, subject to the satisfaction of customary closing conditions. In addition, shareholders also voted to approve certain compensation arrangements for SeraCare's named executive officers in connection with the merger.
