SEC Charges Cantor Fitzgerald With Causing 2 SPACs To Make Misleading Statements
The Securities and Exchange Commission on Thursday <a href="https://www.sec.gov/newsroom/press-releases/2024-199">charged </a>&nbsp;financial services firm Cantor Fitzgerald, L.P. with causing two special purpose acquisition companies that it controlled to make misleading statements to investors ahead of their initial public offerings.&nbsp;
The SEC's Order states that a team of Cantor Fitzgerald executives controlled two SPACs in 2020 and 2021 which raised $750 million from investors through IPOs. The SEC's order finds that Cantor Fitzgerald caused the SPACs in their SEC filings to deny having had contact or substantive discussions with potential business combination targets prior to their IPOs.&nbsp;
However, the Order finds that at the time of each SPAC's IPO, Cantor Fitzgerald personnel had already begun negotiations with a group of potential target companies for the SPACs, including with View, Inc. (OTC:<a class="ticker" href="https://www.benzinga.com/stock/VIEWQ#OTC">VIEWQ</a>) and Satellogic, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SATL#NASDAQ">SATL</a>), the companies with which the SPACs eventually merged.
"Cantor Fitzgerald misled investors about a critical investment consideration by repeatedly stating in public filings that it had not identified or approached any potential merger targets, despite having had substantive discussions with several private companies regarding a potential merger, including with the companies with which its SPACs eventually merged," said Sanjay Wadhwa, Acting Director of the SEC's Division of Enforcement.
The order charges Cantor with causing violations of certain antifraud and proxy provisions of the federal securities laws. Cantor Fitzgerald agreed to cease and desist from violations of the charged provisions and to pay a $6.75 million civil penalty without admitting or denying the order's findings.&nbsp;
SEC Charges Former Comtech CEO with Insider Trading
The SEC <a href="https://www.sec.gov/newsroom/press-releases/2024-195">announced</a> insider trading charges on Wednesday against Ken Peterman, the former CEO of Comtech Telecommunications Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CMTL#NASDAQ">CMTL</a>), in connection with his sale of Comtech shares ahead of Comtech's forthcoming negative quarterly earnings results.
According to the SEC complaint, Peterman received a confidential presentation detailing Comtech's forthcoming negative quarterly earnings results on March 4, 2024 and informed that he was being terminated for cause eight days later.&nbsp;
The SEC's complaint alleges that just a few hours after he was terminated, and while under two different trading blackouts, Peterman placed an order to sell Comtech stock.
On March 18, 2024, Comtech reported its negative quarterly earnings, which caused its stock price to drop more than 25 percent. The complaint alleges that Peterman avoided losses by selling the shares in advance of Comtech's negative earnings announcement.&nbsp;
Peterman also allegedly directed his financial advisor to sell additional Comtech stock he held in a joint account, but the financial advisor was unable to complete the sale. Peterman allegedly would have avoided additional losses of about $110,000 had the trade been executed.&nbsp;
"There is no gray area when it comes to trading on the basis of material non-public information in breach of one's fiduciary duty. C-suite executives like the defendant, a CEO with decades of experience, know that it is illegal to use their company's confidential information for their own financial gain," said Tejal D. Shah, Associate Director of the SEC's New York Regional Office.&nbsp;
"Our action today should serve as a strong deterrent to those executives who might think about going down the same path," Shah added.&nbsp;
The complaint charges Peterman with violating Section 10(b) of the Securities Exchange Act of 1934 and seeks permanent injunctive relief, disgorgement with prejudgment interest, civil penalties and a bar preventing Peterman from serving as an officer or director of a public company.
The U.S. Attorney's Office for the Eastern District of New York also announced criminal charges against Peterman on Wednesday.

What Happened: Swift is likely celebrating the end of her <a href="https://www.benzinga.com/general/entertainment/24/12/42393880/taylor-swifts-record-breaking-eras-tour-wraps-a-look-at-the-numbers">record-breaking "Eras Tour"</a> along with her birthday on Friday, but some investors or fans will soon be celebrating their recent purchase.
Auction company Goldin, which is owned by eBay Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/EBAY#NASDAQ">EBAY</a>) recently sold two holiday photo cards featuring a young Swift on them, including two Christmas cards sent to friends and family by her parents.
The 1992 and 1993 Christmas cards, sold in separate auctions, featured Swift as a three-year-old and four-year-old respectively, alongside her younger brother.

In the rolling hills of Deary, Idaho, a forgotten piece of history sat quietly on a neighbor's farm, collecting dust, rot and the occasional cat colony. Train car number 306, once a proud fixture of the Washington Idaho &amp; Montana Railway, had been out of commission since the 1950s.&nbsp;
For decades, it remained parked and forgotten – until Isaac French's dad spotted it and saw a glimmer of something extraordinary.
"My dad bought this 120-year-old train car for $3,000," French, 27, shared in a <a href="https://x.com/isaacfrench_/status/1823723454572716408">viral X thread </a>with over 16 million views. "It was a rotting, cat-infested wreck. After $149k and five months, we redeemed it."

In 2020, after years of pondering, the family bought the 61-foot-long train car for a mere $3,000. But getting it to their 145-acre property was another story. Moving the beastly structure cost $10,000 and finding someone willing to take on the job wasn't easy.&nbsp;
"We chose the highest point on our land for epic views," French explains, "but getting it up there? Not exactly a walk in the park."
Once the train car was in place, the real work began and the family transformed the derelict car into a stunning <a href="https://www.benzinga.com/real-estate/24/11/41841883/housing-crisis-forces-airbnb-and-vrbo-into-the-hot-seat-as-cities-grapple-with-soaring-rents-and-mounting-public-backlash">Airbnb </a>getaway. French and his siblings rolled up their sleeves, tackling most of the work.
They refurbished the floors, preserved the original windows and even recreated the historic lettering on the side, inspired by a 1906 photo of the train car in its prime. Subcontractors handled the trickier parts, like HVAC and electrical, but the heart of the project was all French family grit.

Inside, they turned the passenger room into a cozy sitting area with a gas potbelly stove and added a kitchenette. The old mail room became a bedroom with a plush king-size bed, while a sleek bathroom with a barn door completed the transformation.&nbsp;
To elevate the experience further, they added a mirrored sauna, hot tub and firepit outside. "It's the perfect mix of old and new," French says. "Guests wake up to these incredible panoramic views. It's magical."
Apparently, travelers agree. Listed at $325 to $350 per night, the train car hit a 90% occupancy rate in its first year, bringing in $14,179. Since then, business has boomed, with annual revenue climbing to $105,000 in 2023.&nbsp;

The French family keeps about 65% of that profit, with the rest covering cleaning, maintenance and insurance. According to AirDNA, between 2020 and 2024, the number of unique Airbnb stay listings – such as yurts and train cars – increased by 123%, outpacing the growth of traditional listings.
Despite the train car's <a href="https://www.benzinga.com/startups/24/12/42258507/tech-ceo-turns-15000-into-1-million-with-pizza-nobody-was-mad-they-got-the-pizza-says-founder-behind-the-viral-campaign">viral success</a>, the family has no plans to jack up prices. "We love hosting people from all over the country," French says. "There's so much joy in sharing this piece of history."
As for the train car, French sees it as a symbol of what's possible. "There are so many old treasures just waiting to be rediscovered. All it takes is a little love to breathe life back into them."

The clock itself is no small feat. Standing 500 feet tall and carved into a remote mountain, the design includes precision mechanics powered by natural thermal cycles. Materials like marine-grade stainless steel and hi-tech ceramics were chosen to ensure it lasts 10,000 years with no human intervention. As Bezos described, the clock will "accrue the patina of age" and eventually become a living piece of history, inspiring future civilizations.

I&rsquo;m 100% on board when it comes to <a href="https://investorplace.com/stock-types/penny-stocks/">penny stocks</a>. If you choose correctly, I think they are a fine way to diversify your portfolio and gain exposure to some companies that are on the verge of some dynamic things that can bring you profits. But you have to choose the right stocks &mdash; and F-rated penny stocks are the ones you should be avoiding at all costs.



Penny stocks are those that sell for $5 or less per share, but there are plenty of penny stocks out there that are priced much less. When you&rsquo;re looking for penny stocks, it&rsquo;s important to recognize which ones are the up-and-comers and which ones are on their way down.



The latter on the list are the ones that you need to be very careful about. Bottom-feeding on an F-rated penny stock is a sure path to failure and losses. And it can happen fast &mdash; penny stocks can be very volatile because most of them have a small market cap and their trading volumes are often small &mdash; so it doesn&rsquo;t take a lot to move the stock price up or down.



Today we&rsquo;ll use the Portfolio Grader to identify F-rated penny stocks that you should be avoiding. <h2>Bruush Oral Care (BRSH)</h2>

The company operates an e-commerce platform that sells sonic-powered electric toothbrushes and brush head refills.



The company offers a subscription program that, if successful, would provide Bruush with a consistent revenue stream. But the business model hasn&rsquo;t proven to be effective.



That&rsquo;s why the company performed a 1-for-25 reverse stock split in August in an attempt to maintain Nasdaq compliance, and that was a short-term solution at best, because the stock price is again far below the $1 threshold and Bruush is <a href="https://feeds.issuerdirect.com/news-release.html?newsid=5212830209014282">operating again under threat of a delisting</a>.



Late last year, Bruush and Arrive Technology, an Indiana company that offers a smart Mailbox-as-a-Service (Maas) platform that uses artificial intelligence to help deliver packages through drones and robot technology. The <a href="https://feeds.issuerdirect.com/news-release.html?newsid=8931471892612331">merger</a>, which is expected to close this year, would see the combined company trade under the ticker symbol ARRV.



The expected merger helped push Bruush&rsquo;s stock price from 4 cents to 15 cents, but the stock is still an incredibly weak play. If gets an &ldquo;F&rdquo; rating in the Portfolio Grader.



<h2>Ascent Solar Technologies (ASTI)</h2>

The company recently touted a <a href="https://finance.yahoo.com/news/ascent-solar-technologies-receives-firm-125500740.html">new contract</a> it signed with an unnamed customer who plans to use Ascent&rsquo;s thin photovoltaic panels to power low Earth-orbit satellites.



But like Bruush, the company is also struggling to maintain its Nasdaq compliance. It completed a <a href="https://investor.ascentsolar.com/news/news-details/2023/Ascent-Solar-Technologies-Inc.-Announces-Reverse-Stock-Split/default.aspx">1-for-200 reverse stock split</a> in September, but the stock is already back below $1.



And the financials are painful to see. <a href="https://d18rn0p25nwr6d.cloudfront.net/CIK-0001350102/70643edd-d719-44de-9ec3-06a1f580d6aa.pdf">Revenue</a> in the first quarter was $5,600, down from $124,255 a year ago. The company posted a loss of $2.53 million in the quarter, which was better than the $6 million loss it recorded in the first quarter of 2023.



ASTI stock is down 83% this year and gets an &ldquo;F&rdquo; rating in the Portfolio Grader.



<h2>Ault Alliance (AULT)</h2>

It has a number of affiliates, including Sentinum, which is a miner of Bitcoin (<a href="https://investorplace.com/cryptocurrency/btc-usd/">BTC-USD</a>)



Ault doesn&rsquo;t even have a Nasdaq listing and trades on the NYSE American, which is the small cap equity market exchange. But like other names on this list, it&rsquo;s had some difficulties there maintaining compliance. Ault announced on May 2 that it&rsquo;s managed to regain compliance.



But it may be a short-term victory. The stock price is down to 33 cents per share, having lost 84% of its value this year, including 15% in the last week.



AULT stock gets an &ldquo;F&rdquo; rating in the Portfolio Grader.



<h2>Grom Social Enterprises (GROM)</h2>

Most social media platforms require users to be at least 13, but Grom is for kids younger than that.



The platform lets kids share content and chat in an online environment that is monitored by Grom employees.



However, the business is shrinking fast. <a href="https://app.quotemedia.com/data/downloadFiling?webmasterId=102691&amp;ref=318336323&amp;type=HTML&amp;symbol=GROM&amp;cdn=e70fcb07a2d4eb401b3649bdbecbe45a&amp;companyName=Grom+Social+Enterprises+Inc.&amp;formType=10-Q&amp;formDescription=General+form+for+quarterly+reports+under+Section+13+or+15%28d%29&amp;dateFiled=2024-05-20">Revenues</a> in the first quarter were only $874,000 down from $1.19 million. The company posted a net loss of $4.1 million, up from a loss of $2.3 million in the first quarter of 2023. Grom acknowledged seeing steep drops in animation revenue, sales and a loss of multiyear contract renewals.



Grom now only has cash and cash equivalents of $450,000, and debts of $100.9 million. In a recent filing, the company acknowledged that it will need to raise additional funding to continue.



GROM stock is down 56% this year and gets an &ldquo;F&rdquo; rating in the Portfolio Grader.



<h2>Virgin Galactic (SPCE)</h2>

The company a few short years ago was in a race with SpaceX and Blue Orgin to see which would be the first private company to successfully launch a civilian into space and open the door toward space tourism.



Virgin Galactic won that race, as founder Richard Branson made his first suborbital spaceflight just nine days before Jeff Bezos went up in a Blue Origin ship. But that&rsquo;s pretty much been the highlight for Virgin Galactic. 



The company&rsquo;s encountered steep losses, burning through more than $1 billion in the last two years.



And while there&rsquo;s renewed interest in SPCE stock today in advance of the company&rsquo;s planned Unity spacecraft launch on June 8, space tourism is still a rich person&rsquo;s game with no profits to be had for investors.



SPCE stock is down 61% in 2024 and gets an &ldquo;F&rdquo; rating in the Portfolio Grader.



<h2>MicroVision (MVIS)</h2>

The sensors are also used in industrial, smart infrastructure and robotics.



While there are useful applications for MicroVision&rsquo;s products, the company hasn&rsquo;t been able to turn that into a profit. 



Revenue for the first quarter was an improvement, coming in at $956,000 versus $782,000 a year ago. But the company&rsquo;s losses were massive, coming in at $26.3 million and 13 cents per share versus $19 million and 11 cents per share a year ago.



And there doesn&rsquo;t appear to be a plan to turn things around, other than &ldquo;work harder.&rdquo;



&ldquo;As we navigate current headwinds in the automotive industry and lidar sector with a healthy balance of optimism and realism, we are aggressively pursuing near-term revenue opportunities in industrial markets and with partnership opportunities, as well as continuing our ethos of fiscal discipline,&rdquo; CEO Sumit Sharma said. &ldquo;I remain committed to steering MicroVision and firmly establishing it as a leading automotive OEM supplier of lidar hardware and software solutions.&rdquo;



I would rather see a bold plan for turning this ship around. But that&rsquo;s why MicroVision is an F-rated penny stock in the Portfolio Grader. The stock price is down 58% this year.



<h2>Mullen Automotive (MULN)</h2>

Remember, this is the EV company that did three separate reverse stock splits last year, including a 1-for-100 split in December.



To its credit, Mullen is trying to do something different now. It&rsquo;s shifting its business model to produce commercial EVs, and it&rsquo;s completed the first phase of its&nbsp;<a href="https://investorplace.com/2024/04/muln-stock-alert-mullen-hits-new-battery-pack-milestone/">battery line integration</a>&nbsp;at its California plant in hopes of commercializing EV battery packs.



It&rsquo;s working on expanding its distribution network into <a href="https://finance.yahoo.com/news/mullen-announces-european-distributor-gama-130000336.html">Eastern Europe</a> and it signed a new deal to supply 40 commercial vehicles to a company in <a href="https://finance.yahoo.com/news/mullen-automotive-secures-major-european-183010622.html">Switzerland</a>.



Is this enough to turn the tide on MULN stock? Its finally starting to see revenue, <a href="https://news.mullenusa.com/mullen-reports-q2-2024-fiscal-quarter-results">bringing in $33,000 in the second quarter of fiscal 2024</a>. But the losses are staggering, at $177.3 million for the quarter.



Mullen has $22.3 million in cash and cash equivalents, down from $155 million a year ago. So at this rate of spending, money is going to be an immediate concern. While it&rsquo;s possible that Mullen can eventually become a stable company, it&rsquo;s nowhere close now.



MULN stock is down 73% this year and gets an &ldquo;F&rdquo; rating in the Portfolio Grader.
