CVR Energy Inc was incorporated in Delaware in September, 2006. It is a diversified holding company engaged in the petroleum refining and nitrogen fertilizer manufacturing industries through its holdings in CVR Refining, LP and CVR Partners, LP. The Company operates in two business segments which include Petroleum and Nitrogen fertilizer. The Refining Partnership is an independent petroleum refiner and marketer of high value transportation fuels. The petroleum business focuses its Coffeyville petroleum product marketing efforts in the central mid-continent area, because of its relative proximity to the refinery and pipeline access. The principal products of the petroleum segment are refined fuels, propane, and petroleum refining by-products, including pet coke. Customers for the refined petroleum products include retailers, railroads, and farm cooperatives and other refiners. The petroleum business competes on the basis of price, reliability of supply, availability of multiple grades of products and location. The petroleum business refinery competition also includes branded, integrated and independent oil refining companies, such as Phillips 66, HollyFrontier, NCRA, Valero and Flint Hills Resources. The Nitrogen Fertilizer Partnership produces and markets nitrogen fertilizers in the form of UAN and ammonia. The petroleum business consists of a complex full coking medium-sour crude oil refinery in Coffeyville, Kansas. The nitrogen fertilizer business consists of a nitrogen fertilizer facility in Coffeyville, Kansas that is the only operation in North America that uses a petroleum coke, or pet coke, gasification process to produce nitrogen fertilizer. The nitrogen fertilizer facility's primary input is pet coke. The primary geographic markets for the nitrogen fertilizer business' fertilizer products are Kansas, Missouri, Nebraska, Iowa, Illinois, Colorado and Texas. The nitrogen fertilizer business markets the UAN products to agricultural customers and the ammonia products to industrial and agricultural customers. Its customers include Gavilon Fertilizer, LLC, United Suppliers, Inc., Crop Production Services, Inc., J.R. Simplot, Inc., Interchem and MFA. The principal product of the nitrogen fertilizer segment is nitrogen fertilizer. The nitrogen fertilizer business competitors include Agrium, Koch Nitrogen, Potash Corporation and CF Industries. The petroleum and nitrogen fertilizer businesses are subject to federal, state and local, environmental and health and safety laws and regulations governing the emission and release of hazardous substances into the environment, the treatment and discharge of waste water, the storage, handling, use and transportation of petroleum and nitrogen products, and the characteristics and composition of gasoline and diesel fuels.
