Boyd Gaming Corporation was incorporated in Nevada in June 1988. It is a multi-jurisdictional gaming company. It has 21 wholly-owned gaming entertainment properties in Nevada, Illinois, Indiana, Iowa, Kansas, Louisiana, & Mississippi. Its segments include Las Vegas Local, Downtown Las Vegas, Midwest and South, Peninsula, and Borgata. Its Las Vegas Locals segment consists of six casinos that primarily serve the resident population of the Las Vegas metropolitan area. Its Downtown Las Vegas Properties segment focus on customers from Hawaii. Through its Hawaiian travel agency, Vacations Hawaii, it operates as many as four charter flights from Honolulu to Las Vegas each week. Its Midwest and South Properties segment consist of four dockside riverboat casinos, one racino and two barge-based casinos that operate in four states in the Midwest and southern United States. Its Peninsula properties segment consist of three casinos, one racino and one riverboat casino that operate in three states, Iowa, Kansas and Louisiana. Generally, these states allow casino gaming on a limited basis through the issuance of a limited number of gaming licenses. Its Borgata segment has six fine-dining restaurants with acclaimed chefs including Bobby Flay, Michael Mina, Wolfgang Puck, Michael Schulson and Stephen Kalt, six casual dining restaurants, eight quick dining options, 17 retail boutiques, two European-style spas, two nightclubs and over 8,200 parking spaces. The Company faces competes against other gaming companies as well as other hospitality, entertainment and leisure companies. The Company is subject to extensive regulation under laws, rules and supervisory procedures primarily in the jurisdictions where its facilities are located or docked.
