Vertical farming technology and infrastructure provider Nature&#39;s Miracle Holding Inc. (NASDAQ: NMHI) and Agrify Corporation (NASDAQ: AGFY) announced on Thursday that both parties have signed a definitive agreement and plan of merger. Under the deal, a new wholly-owned subsidiary of Nature&#39;s Miracle will merge with and into Agrify, with Agrify surviving the merger as a wholly-owned subsidiary of Nature&#39;s Miracle. The signing of the definitive agreement directly follows the previously announced term sheet for the merger, according to a press release.

The Fremont Fire Department on Monday extinguished a fire at&nbsp;Tesla Inc.&#8216;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TSLA#NASDAQ">TSLA</a>)&nbsp;<a target="_blank" href="https://www.benzinga.com/news/24/01/36820985/teslas-fremont-factory-once-left-for-dead-by-gm-and-toyota-during-great-recession-tops-north-america" rel="noreferrer noopener">Fremont factory</a>, where the company manufactures its Model 3, Y, S, and X vehicles.
What Happened: The 2-alarm fire started in an oven in a two-story building at Tesla&#8217;s Fremont factory, the Fire Department reported. No injuries were reported, and all employees were safe and accounted for.
The department is currently investigating the cause of the fire.
Tesla did not immediately respond to Benzinga&#8217;s request for comment on the incident.
Why It Matters: Tesla&#8217;s Fremont factory, located in California, is one of the largest manufacturing sites in the state. The facility has an installed annual vehicle capacity of 650,000 vehicles, including 100,000 for its premium Model S and X.
Earlier this year, Tesla attributed an&nbsp;<a target="_blank" href="https://www.benzinga.com/news/24/04/38068997/elon-musk-dwells-on-wokeness-geopolitics-population-crisis-but-mostly-stays-silent-on-teslas-gloomy" rel="noreferrer noopener">8.5% year-on-year decline</a>&nbsp;in its first-quarter vehicle deliveries to difficulties in ramping up production of the refreshed Model 3 at the Fremont factory, among other reasons.

The CEO was responding to a report from analytics firm Bryce Tech which pegged the number of launches by SpaceX in the first quarter at 31, China&#8217;s China Aerospace Science and Technology Corporation&nbsp;(CASC) at 9, and Russia&#8217;s Roscosmos at 5.
As per the report, SpaceX launched about 429,125 kgs of spacecraft upmass in Q1, seconded by CASC after launching just 29,426 kgs. SpaceX&#8217;s American rival United Launch Alliance, meanwhile, launched only 1,285 kgs of spacecraft upmass in the quarter. ULA is a joint venture between Lockheed Martin and Boeing.

Since then, Musk has repeatedly targeted Disney CEO Iger and Meta Platforms. For instance, in February earlier this year, he questioned Disney&#8217;s ad spending on Meta amid Instagram&#8217;s child exploitation allegations. The CNN Money Fear and Greed index showed some decline in the overall market sentiment, but the index remained in the &#8220;Greed&#8221; zone on Monday.
U.S. stocks settled mixed on Monday, with the Nasdaq index settling at a record high level during the session.
U.S. stocks notched gains last week, with the Dow gaining 1.2% to record its fifth consecutive weekly gain, while the S&amp;P 500 added 1.5% last week.
JPMorgan Chase &amp; Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JPM#NYSE">JPM</a>) shares fell 4.5% on Monday after CEO Jamie Dimon suggested the company would not buy back a lot of stock at current prices. NVIDIA Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>) shares gained 2.5% after multiple analysts raised their price targets on the stock ahead of Wednesday's earnings report.
Most sectors on the S&amp;P 500 closed on a negative note, with consumer staples, consumer discretionary and financial stocks recording the biggest losses on Monday. However, information technology and communication services stocks bucked the overall market trend, closing the session higher.
The Dow Jones closed lower by around 197 points to 39,806.77 on Monday. The S&amp;P 500 rose 0.09% at 5,308.13, while the Nasdaq Composite gained 0.65% at 16,794.88 during Monday's session.
Investors are awaiting earnings results from Toll Brothers, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TOL#NYSE">TOL</a>), Macy&#8217;s, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/M#NYSE">M</a>), and Lowe&#8217;s Companies, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LOW#NYSE">LOW</a>) today.
At a current reading of 64.2, the index remained in the &#8220;Greed&#8221; zone on Monday, versus a prior reading of 64.5.

Investor Sentiment Decreases Slightly, But Nasdaq Settles At Record High

Tesla, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TSLA#NASDAQ">TSLA</a>) shares&nbsp;<a target="_blank" href="https://www.benzinga.com/markets/equities/24/05/38923873/stocks-gold-reach-new-record-highs-cruise-stocks-rally-gamestop-sinks-whats-driving-markets-mond" rel="noreferrer noopener">diverged from broader market gains</a>&nbsp;on Monday, ending lower for the session. Fund manager and Tesla investor&nbsp;Gary Black&nbsp;tried to ease concerns about shareholders potentially rejecting the proposal to ratify CEO&nbsp;Elon Musk&#8216;s compensation plan.
What Happened:&nbsp;Addressing Tesla bulls worried about a possible shareholder rebuff and Musk leaving the company, Black said, &#8220;This is insane fear-mongering at its worst.&#8221; He expects shareholders to overwhelmingly&nbsp;<a target="_blank" href="https://www.benzinga.com/markets/equities/24/05/38889994/why-cant-tesla-just-grant-elon-musk-a-new-pay-package-critic-and-legal-expert-says-ceo-cant-repl" rel="noreferrer noopener">approve the pay plan</a>&nbsp;in 2024, as 73% did in 2018.

Nature's Miracle looks to acquire Agrify

Though initial public offerings are heating up, 2024 has thus far been disappointing for investors looking for merger stocks to buy. The year&rsquo;s first few months saw the iRobot (NASDAQ:<a href="https://investorplace.com/stock-quotes/irbt-stock-quote/">IRBT</a>) and Southwest Airlines (NYSE:<a href="https://investorplace.com/stock-quotes/luv-stock-quote/">LUV</a>) deals scuttled, dashing merger arbitrage investors&rsquo; hopes of a quick payday and all-but-guaranteed upside.



But don&rsquo;t let a few big-name failures turn you away from merger stock-buying opportunities. While nothing in life is guaranteed, the first two merger stocks to buy on this list are all but done deals, expected to close within the next few months. While the third is a bit of a wildcard, its inherent nature also points to significant upside potential &mdash; no matter how the merger ultimately goes.



<h2>Agrify (AGFY)</h2>

Investors can easily accumulate a large position in Agrify Corp (NASDAQ:<a href="https://investorplace.com/stock-quotes/agfy-stock-quote/">AGFY</a>) before its imminent buyout by Nature&rsquo;s Miracle (NASDAQ:<a href="https://investorplace.com/stock-quotes/nmhi-stock-quote/">NMHI</a>). In this case, we&rsquo;re looking at micro-cap stocks merging to create new synergies and, hopefully, begin trending upward toward small-cap status (Agrify&rsquo;s current market cap is just $4.25 million; Nature&rsquo;s Miracle is a hair under $22.5 million).



Nature&rsquo;s Miracle is a vertical farming stock. Agrify offers a range of products and services across the cannabis value chain, including facility design, training, project management and equipment sales that support the plant&rsquo;s cultivation and processing cycle. The merger deal, priced at $6.35 million, is equivalent to $0.4185 per share of Agrify &mdash; a nearly 40% premium over today&rsquo;s per-share pricing. Better yet, the merger makes sense and could be fruitful if you retain the converted stock post-merger.



Most notably, Nature&rsquo;s Miracle is effectively buying access to Agrify&rsquo;s AI-powered software and hardware cannabis-growing tech and integrating it within its product line. As cannabis rescheduling and similar early legalization efforts begin taking hold, this micro-cap merger could quickly become a big winner, considering each company is effectively agnostic as to which brands or companies end up the biggest distributors or sellers. The deal is expected to close before October.



<h2>Six Flags Entertainment (SIX)</h2>

Astute readers know that May is the 5th month, and <a href="https://blooloop.com/theme-park/news/six-flags-cedar-fair-merger-close-soon-financial-results/">both companies affirmed</a> that the deal is still on track in their first-quarter earnings reports &mdash; so there&rsquo;s little chance the merger will take more than 45 days or so from this point forward, and hopefully a bit sooner.



The deal won&rsquo;t give current Six Flags investors much per-share upside from today&rsquo;s pricing, but it will come with an additional benefit. <a href="https://investors.sixflags.com/news-and-events/press-releases/2023/11-02-2023-100020810">Each shareholder</a> will get a special, one-time dividend of $1 when their stock converts at a 0.58 exchange ratio. Better yet, both companies represent a uniquely formidable force within theme parks and entertainment; Deutsche Bank says shares are worth about $29 in anticipation of market synergies and efficiencies created by merging. That target represents an 8% premium over today&rsquo;s pricing despite the stock&rsquo;s value remaining in line with the existing merger agreement.



<h2>Banco De Sabadell (BNDSY)</h2>



<div><img width="300" height="200" src="https://investorplace.com/wp-content/uploads/2024/04/shutterstock_1108927925-300x200.jpg" alt=""><div>Source: Shutterstock</div></div>In a much more aggressive move, large Spanish bank BBVA (NYSE:<a href="https://investorplace.com/stock-quotes/bbva-stock-quote/">BBVA</a>) recently announced its intent to fight for control of Banco De Sabadell (OTCMKTS:<a href="https://investorplace.com/stock-quotes/bndsy-stock-quote/">BNDSY</a>), a mid-cap Spanish financial services and banking firm. BBVA originally offered the bank&rsquo;s board $12.87 billion in a friendly bid for control. Management rejected the offer, which spurred BBVA&rsquo;s direct appeal to shareholders, which <a href="https://www.cnbc.com/2024/05/09/spains-bbva-launches-rare-hostile-takeover-bid-for-rival-sabadell.html">they described</a> as an &ldquo;extraordinarily attractive offer to create a bank with greater scale.&rdquo;



The hostile takeover attempt puts Banco De Sabadell&rsquo;s per-share pricing at about $4.78, or 16% higher than today. If you buy into Banco De Sabadell today, expect significant volatility and potential downside, with a caveat. If Banco De Sabadell beats the takeover, they&rsquo;ve successfully fended off a massive competitor, and per-share pricing will likely surge. On the other hand, if BBVA gets sufficient shareholders on board, then Banco De Sabadell is now part of a much larger entity that purchased it at a premium &mdash; and shares may surge. Ultimately, though risky, this potential merger represents the most upside opportunity as the situation evolves rather than part of a fixed, friendly agreement.
