Blue Biofuels Inc is a technology company focused on emerging technologies in the renewable energy, biofuels, and new technologies sectors. It developed a technology system called Cellulose-to-Sugar 2.0 (CTS 2.0) which is a mechanical/chemical dry process for converting cellulose material into sugar for use in the biofuels industry. BioFuel Announces Results Of Annual Meeting And Expiration Of Rights Offering 

BIOFUEL ENERGY CORP. (NASDAQ: <a class="ticker" href="/stock/biof#NASDAQ">BIOF</a>) made an announcement Friday, relating to the Company's rights offering.
On or about September 22, 2014, the Company will distribute, at no charge, to the holders of its common stock transferable subscription rights to purchase common stock.&nbsp; Each holder of shares of Company common stock as of 5:00 p.m., New York City time, on September 15, 2014 (the "Record Date") &nbsp;will receive one subscription right for each share of common stock owned as of the Record Date.&nbsp; Each subscription right will permit the holder of such right to acquire 2.2445 shares of Company common stock at a rights price equal to $5.00 per share (subject to rounding as described in our prospectus relating to the rights offering, the "Basic Subscription Privilege"). &nbsp;

	The consummation of the Transactions is subject to a number of conditions, including:

	the availability of the Company&#39;s NOLs without impairment (subject to certain exceptions)

	Barbara Blacklidge has been a tax preparer for 16 years, and has over 25 years as a real estate/corporate paralegal.&nbsp;Regarding BIOF&rsquo;s situation she said:

	A complete disallowance of NOLs under 382: continuity of business enterprise (&quot;COBE&quot;). COBE requires that the company (or its successor) either continue the old corporation&#39;s historical business or use a significant portion of the company&#39;s assets in the new business. The information you have provided indicates there are no assets; therefore, use of the NOLs would not be permitted.

	Real estate is a different business than biofuel, therefore, the NOLs can&#39;t be used. In BIOF&rsquo;s proxy statement, it goes over the issue of business ownership, but not the issue of business continuity.

	IRC Section 269 - Acquisitions Made To Evade Or Avoid Income Tax

	<a href="http://www.law.cornell.edu/uscode/text/26/269" target="_blank">US code 269 states</a>:If the principal purpose for which an acquisition was made is evasion of Federal income tax then the Secretary may disallow such deduction.

	BIOF longs and shorts alike agree that the principal purpose of the merger is to utilize BIOF&rsquo;s NOLs. A CFO/CPA we spoke with said:

	I would never do something like this without first securing a &quot;Letter Of Determination&quot; from the IRS to confirm that the NOLs can be of use.

Biofuel Shares Quiet Following Amended 13D Filing from Dan Loeb's Third Point Showing Largely Unch 19.3% Stake, Includes Rights Offering Entry

BioFuel Energy (NASDAQ: <a class="ticker" href="/stock/biof#NASDAQ">BIOF</a>) shares jumped as much as nine percent Wednesday morning after confirmation that investor David Einhorn&#39;s Green Light Capital will fully participate in an upcoming rights offering.

	The offering is key to a $275 million cash and stock deal in which Einhorn will obtain a controlling interest in BioFuel. The deal was proposed in March and inked in June.

	BioFuel said it signed a definitive agreement July 10, with Einhorn financing the deal through a rights offering to common shareholders and a private non-registered rights offering to Einhorn&#39;s Greenlight and Third Point holding companies.

	Biofuel on Tuesday said it obtained so-called backstop agreements for the offering with JMB Capital Partners Master Fund, L.P., Lonestar Partners, LP, North Run Master Fund, LP and Scoggin LLC

	A filing with the Securities and Exchange Commission confirmed Einhorn&#39;s commitment and revealed that he has increased his stake to 35.4 percent, from 26.24 percent as of March.

	BioFuel traded recently at $7.24, up 9.53 percent.

In a <a href="http://finance.yahoo.com/news/biofuel-energy-enters-definitive-agreement-123000884.html">press release</a> on Wednesday, BioFuel Energy (NASDAQ: <a class="ticker" href="/stock/biof#NASDAQ">BIOF</a>) announced that it has entered into a definitive agreement with affiliates of Greenlight Capital (NASDAQ: <a class="ticker" href="/stock/glre#NASDAQ">GLRE</a>) and James Brickman to acquire equity interests on JBGL Builder Finance and specific subsidiarties of JBGL Capital, LP.

	JBGL, currently owned and controlled by Greenlight and Brickman, will be acquired by BioFuel for $275 million, payable in cash and common stock. The breakdown of the cash portion of the sale will be funded from proceeds of a $70 million rights offering and $150 million in debt financing provided to BioFuel Energy by Greenlight.

	The release states, &quot;In response to a proposal from Greenlight and Brickman on March 28, 2014, the board of directors of the Company formed a special committee of independent directors to evaluate the proposed transaction and possible alternatives for the Company.

	The Company&#39;s board of directors, acting upon the unanimous recommendation of the special committee, approved the transaction, determined to exempt the transaction under the Company&#39;s Section 382 rights plan and resolved to recommend that the Company&#39;s stockholders vote to approve the transaction and related matters. The special committee negotiated the terms of the transaction with the assistance of its legal and financial advisors.&quot;

	Completion of the acquisition is contingent to a variety of conditions including the receipt of the approval of a majority of BioFuel shareholders and the completion of rights and authorization for listing the stock on the Nasdaq stock market.

	Shares of BioFuel Energy closed at $5.78 on Tuesday. Shortly after Wednesday's opening bell, shares shot up 43 percent to $8.27, but are starting to subside.

Biofuel Energy Shares Rise 40%; David Einhorn's Greenlight Capital Announced Increased Stake on March 28; Proposed BioFuel Acquire JBGL

The following are the M&amp;A deals, rumors and chatter circulating on Wall Street for Monday March 31, 2014:

Johnson &amp; Johnson Accepts $4B Binding Offer from Carlyle Group to Acquire Ortho-Clinical Diagnostics

The Deal: Johnson &amp; Johnson (NYSE: <a class="ticker" href="/stock/jnj#NYSE">JNJ</a>) announced Monday it has accepted the binding offer from Carlyle Group (NASDAQ: <a class="ticker" href="/stock/cg#NASDAQ">CG</a>), announced on January 16, 2014, to acquire JNJ's Ortho-Clinical Diagnostics business for approximately $4 billion. The deal is expected to close toward the middle of 2014. 

Johnson &amp; Johnson shares closed Monday at $98.23, a gain of $0.79. 

BioFuel Shares Soar Almost 150% on Greenlight Stake, Proposal

The Proposal: Shares of BioFuel Energy (NASDAQ: <a class="ticker" href="/stock/biof#NASDAQ">BIOF</a>) surged as much as 148% higher on Monday, on a disclosure of a 35% stake by investor David Einhorn's Greenlight Capital in a 13D filing on Friday. Greenlight and Jim Brickman also proposed the BioFuel Energy acquire all of the equity interests of JBGL for $275 million in cash and stock. JBGL is owned by Greenlight and Brickman.

BioFuel Energy confirmed receipt of the non-binding proposal and said the board of directors of the company will establish a special committee consisting of independent directors to evaluate the proposal.

BioFuel Energy closed Monday at $30.36, a gain of $7.30, a gain of 132% on 37 times average volume. 

Yahoo Reportedly in Talks to Acquire News Distribution Network for $300M

The Rumor: Yahoo (NASDAQ: <a class="ticker" href="/stock/yhoo#NASDAQ">YHOO</a>) is said to be in talks to acquire online-video service News Distribution Network, for $300 million, according to WSJ. NDN is the number four ranked video site, ahead of Yahoo at number five. The acquisition would help Yahoo compete against Google's (NASDAQ: <a class="ticker" href="/stock/goog#NASDAQ">GOOG</a>) YouTube.

A spokesperson for NDN said they are not in talks to be acquired by Yahoo at this time.

Yahoo closed Monday at $35.90, unchanged.
