RIV Capital Schedules Special Meeting Of Shareholders In Response To JW Asset Management Requisition

RIV Capital Inc. CNPOF RIV has scheduled a special meeting of its shareholders for June 6, 2023 at 10:00 a.m. EDT, in response to the shareholder requisition from funds that are controlled or directed by JW Asset Management, LLC. As previously announced, JW Asset Management, has requisitioned the special meeting to, among other things, elect five new directors to the board of directors of the company.

"It's clear that change is required at RIV Capital, and I am confident that the independent and experienced individuals nominated to join the newly constituted board will provide the judgment, oversight and business acumen required to change course and build value", stated Jason Wild, president and chief investment officer at JW Asset Management, in a special meeting requisition announcement.

RIV Capital  has set May 3, 2023 as the record date for determining shareholders of the company who are entitled to receive notice of, and to vote at, the special meeting.

Shareholders are not required to take any action at this time. RIV Capital will prepare and deliver to shareholders a management proxy circular in respect of the special meeting in accordance with applicable law.
