Oceaneering International Inc was organized as a Delaware corporation in 1969 out of the combination of three diving service companies founded in the early 1960s. The Company is an oilfield provider of engineered services and products to the offshore oil and gas industry with a focus on deepwater applications. Its business segments are contained within two businesses, being services and products provided to the oil and gas industry (Oilfield), and all other services and products ( Advanced Technologies). Its four business segments within the Oilfield business are Remotely Operated Vehicles (ROVs), Subsea Products, Subsea Projects and Asset Integrity. Its Oilfield business provides services and products for deepwater offshore operations and subsea completions. It provide ROVs, which are submersible vehicles operated from the surface, to customers in the oil and gas industry for drilling support and vessel-based services, including subsea hardware installation, construction, pipeline inspection, survey and facilities inspection, maintenance and repair. It also provides a variety of tooling and specialty subsea hardware. Its Subsea Projects segment consists of subsea installation, inspection, maintenance and repair services, principally in the U.S. Gulf of Mexico and offshore Africa, utilizing a fleet of two owned and five long-term chartered dynamically positioned deepwater vessels with integrated high-specification work-class ROVs onboard, and four owned shallow water diving vessels, spot-chartered vessels and other assets. Through the Asset Integrity division, the Company offers asset integrity services to customers to improve the reliability and safety of their facilities onshore and offshore, while reducing their unplanned maintenance and repair costs. The Company's Advanced Technologies segment provides project management, engineering services and equipment for applications in non-oilfield markets. The Company markets its ROVs, Subsea Products, Subsea Projects and Asset Integrity services and products to domestic, international and foreign national oil and gas companies engaged in offshore exploration, development and production. It market its marine services and related engineering services to government agencies, defense contractors, NASA and NASA contractors, and to theme park and other industrial customers outside the energy sector. The Company's raw materials include steel in various forms including copper, electronic components and plastics. The Company currently holds a number of U.S. and foreign patents and has numerous pending patent applications. Its operations are affected from time to time and in varying degrees by foreign and domestic political developments and foreign, federal and local laws and regulations.
