The Company designs, manufactures and markets an extensive range of apparel, including outerwear, dresses, sportswear, swimwear, womens suits and womens performance wear, as well as footwear, luggage and womens handbags, small leather goods and cold weather accessories. The Company operates its business in three segments, licensed products, non-licensed products and retail operations. The licensed products segment includes sales of products under brands licensed from third parties. The non-licensed products segment mainly includes sales of products under its own brands and private label brands. The retail operations segment consists primarily of its Wilsons and G.H. Bass stores, as well as a limited number of Andrew Marc retail stores and Calvin Klein Performance stores. The Company sells its products under its own proprietary brands, which include Vilebrequin, Bass, G.H. Bass, Andrew Marc, Marc New York and Eliza J. The Company provides apparel under recognized brands to a cross section of retailers such as Macys, Bloomingdales, Nordstrom, Neiman Marcus, Saks Fifth Avenue, Lord & Taylor, The Bon-Ton Stores, Dillards and JC Penney. The Company has licenses to produce branded fashion apparel under the Calvin Klein, Kenneth Cole, Guess?, Cole Haan and Tommy Hilfiger. It also has sports licenses with the National Football League, National Basketball Association, Major League Baseball, National Hockey League, Touch by Alyssa Milano and over 100 U.S. colleges and universities. It sells swimwear, resort wear and related accessories under its own Vilebrequin brand. Its other owned brands include, Andrew Marc, Marc New York, Jessica Howard, Eliza J and Black Rivet. It also works with a group of retailers, such as JC Penney, Kohls and Express in developing private label product lines. The raw materials used by the Company in the production of its products are textiles, wool and leather. The Company has numerous competitors with respect to the sale of its products, including distributors that import products from abroad and domestic retailers with established foreign manufacturing capabilities. The Companys retail business competes against diverse group of retailers, including other outlet stores, department stores, specialty stores, warehouse clubs and e-commerce retailers The Companys operations are subject to regulations that relate to product labeling, content and safety requirements, licensing requirements and flammability testing.
