Guess? Inc was founded in 1981 and currently operates as a Delaware corporation. The Company designs, markets, distribute and licenses lifestyle collections of contemporary apparel and accessories for men, women and children that reflect the American lifestyle and European fashion sensibilities. Its apparel is marketed under numerous trademarks including Guess, Guess?, Guess U.S.A., Guess Jeans, Guess? and Triangle Design, Question Mark and Triangle Design, a stylized G, Guess Kids, Baby Guess, Yes, G by Guess, Guess by Marciano, and Marciano. The lines include full collections of clothing, including jeans, pants, overalls, skirts, jackets and knitwear and intimate apparel. It also selectively grant licenses to manufactures and distributes products that complements its apparel lines, including eyewear, watches, handbags, footwear, kids' and infants' apparel, swimwear, fragrance, jewelry and other fashion accessories. The Company's products are sold through direct-to-consumer, wholesale and licensing distribution channels. Its core customer is a style-conscious consumer mainly between the ages of 20 and 35. The Company's businesses are grouped into five reportable segments: North American Retail, Europe, Asia, North American Wholesale and Licensing. The Europe segment includes the Company's wholesale, retail and e-commerce operations in Europe and the Middle East. The North American Retail segment includes the Company's retail and e-commerce operations in North America. The Asia segment includes the Company's wholesale, retail and e-commerce operations in Asia. The North American Wholesale segment includes the Company's wholesale operations in North America and export sales to Central and South America. The Licensing segment includes the licensing operations of the Company. The Company along with its partners approximately opened 177 new stores internationally consisting of 89 stores in Europe and the Middle East, 67 stores in Asia, 13 stores in the U.S. and Canada and eight stores in Central and South America. The Company together with its partners closed 159 stores internationally, consisting of 84 stores in Europe and the Middle East, 38 stores in Asia, 31 stores in the U.S. and Canada and six stores in Central and South America. The Company ended fiscal with 1,708 stores. The Company sells through both domestic and international wholesale distribution channels as well as licensee operated retail stores and concessions. The U.S. and Canadian wholesale customers consists of department stores, including Macy's, Bloomingdales and The Bay, and select specialty retailers and upscale boutiques, which have the image and merchandising expertise that it requires for the effective presentation of its products. In Europe, the products are sold in stores ranging from department stores like El Corte Ingles, Galeries Lafayette, Printemps and to small upscale multi-brand boutiques. The Company competes with numerous apparel manufacturers and distributors, both domestically and internationally, as well as several other designers. The Company is subject to federal, state and local laws and regulations.
