Caesars Entertainment Corp was incorporated on November 2, 1989 in Delaware. The Company is a casino-entertainment provider and a diverse U.S. casino-entertainment company. The Company's business is mainly conducted through its wholly owned subsidiaries, Caesars Entertainment Operating Company, Inc. (CEOC) and Caesars Entertainment Resort Properties (CERP) and their subsidiaries. As of December 31, 2012, it owned, operated, or managed, through various subsidiaries, 52 casinos in 13 U.S. states and five countries. Of the 52 casinos, 39 are in the United States and primarily consist of land-based and riverboat or dockside casinos. Its 13 international casinos are land-based casinos, most of which are located in England. The Company's casino entertainment facilities operate mainly under the Harrah's, Caesars, and Horseshoe brand names in the United States. As of December 31, 2013, it owned and managed facilities had an aggregate of approximately three million square feet of gaming space and approximately 42,000 hotel rooms. Its customer loyalty program, Total Rewards, has approximately 45 million members. It uses the Total Rewards system to market promotions and to generate customer play across its network of properties. In addition to casinos, its facilities typically include hotel and convention space, restaurants, and non-gaming entertainment facilities. Caesars Palace, Harrah's Las Vegas, Rio All-Suite Hotel & Casino, Bally's Las Vegas, Flamingo Las Vegas, Paris Las Vegas, Planet Hollywood Resort & Casino, and The Quad Resort & Casino are located in Las Vegas and draw customers from throughout the United States and internationally. As of February 2014, it owned and operated four casinos in London: the Sportsman, The Playboy Club London and The Casino at the Empire. It also owns Alea Nottingham, Alea Glasgow, Manchester 235, Rendezvous Brighton, and Rendezvous Southend-on-Sea in the provinces of the United Kingdom. It also operates two casinos in Egypt, The London Club Cairo, and Caesars Cairo. It also owns and operates Bluegrass Downs, a harness racetrack located in Paducah, Kentucky. In most markets, including Las Vegas and Atlantic City, it competes directly with other casino facilities operating in the immediate and surrounding market areas, while in others, including Atlantic City, it faces additional competition from nearby markets.
