DALLAS, Dec. 14, 2020 /PRNewswire/ -- EnLink Midstream, LLC (NYSE:ENLC) (EnLink) today announced the pricing of $500.0 million aggregate principal amount of 5.625% senior notes due January 2028 (the Senior Notes) at a price of 100% of their face value. The Senior Notes will be fully and unconditionally guaranteed on a senior basis by EnLink Midstream Partners, LP (ENLK), a subsidiary of EnLink. The sale of the Senior Notes is expected to close on December 17, 2020, subject to customary conditions.

The Senior Notes and ENLK's guarantee are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the Securities Act), or outside the United States to persons other than "U.S. persons" in compliance with Regulation S under the Securities Act. The Senior Notes and ENLK's guarantee have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
