(NASDAQ:PRKR) ("ParkerVision" or "Company"), announced that it has filed an S-1 registration statement with the Securities and Exchange Commission in accordance with the  previously announced transaction with  Aspire Capital Fund, LLC ("Aspire Capital").  The registration statement covers the 312,500 shares sold to Aspire Capital at $1.60 per share, 267,500 shares issued to Aspire Capital as a commitment fee, and 3.4 million shares of common stock which may be sold incrementally in the future, over a 30-month period, at the Company's sole discretion, at prices based on the market price at the time of each purchase.   Aspire Capital has committed to purchase up to a maximum of $20 million over the term of this agreement. The Company filed a Current Report on Form 8-K on October 18, 2017 which discusses the details of the transaction.
