Icahn Enterprises LP is a master limited partnership formed in Delaware on February 17, 1987. The Company owns a 99% limited partner interest in Icahn Enterprises Holdings L.P. Icahn Enterprises Holdings and its subsidiaries own substantially all of the Company's assets and liabilities and conduct substantially all of the Company's operations. The Company is a diversified holding company owning subsidiaries engaged in the following continuing operating businesses: Investment, Automotive, Energy, Metals, Railcar, Gaming, Food Packaging, Real Estate and Home Fashion. Investment segment is comprised of various private investment funds, including Icahn Partners L.P., Icahn Partners Master Fund LP, Icahn Partners Master Fund II LP and Icahn Partners Master Fund III LP, through which the Company invests its proprietary capital. It conducts automotive segment through majority ownership in Federal-Mogul Corporation. Federal-Mogul is a supplier of technology and innovation in vehicle and industrial products for fuel economy, emissions reduction and safety systems. It serves original equipment manufacturers and servicers of automotive, light, medium and commercial vehicles, off-road, agricultural, marine, rail, aerospace, power generation and industrial equipment, as well as the aftermarket. The Company conducts its energy segment through majority ownership in CVR; engaged in the petroleum refining and nitrogen fertilizer manufacturing industries through its holdings in CVR Refining, LP and CVR Partners, LP, respectively. CVR Refining is an independent petroleum refiner and marketer of high value transportation fuels. CVR Partners produces nitrogen fertilizers in the form of urea ammonium nitrate and ammonia. The Company conducts its metals segment through its indirect wholly owned subsidiary, PSC Metals, Inc. PSC Metals collects industrial and obsolete scrap metal, processes it into reusable forms, and supplies the recycled metals to its customers, including electric-arc furnace mills, integrated steel mills, foundries, and secondary smelters and metals brokers. It conducts its railcar segment through majority ownership interests in American Railcar Industries, Inc. and the newly capitalized American Railcar Industries, Inc. American Railcar Industries, Inc. is a North American designer and manufacturer of hopper and tank railcars and provides its railcar customers with integrated solutions through a comprehensive set of high-quality products and related services through its manufacturing, leasing and railcar services operations. New American Railcar Industries, Inc. is engaged in the business of leasing railcars to customers with specific requirements whose products require specialized railcars dedicated to transporting, storing, and preserving the integrity of their products. It conducts its Gaming segment through majority ownership in Tropicana Entertainment Inc., an owner and operator of regional casino and entertainment properties. Tropicana caters to local and regional guests to provide a fun and exciting gaming environment with lodging, dining, retail and entertainment amenities. It conducts its Food Packaging segment through majority ownership in Viskase Companies, Inc., engaged in the production and sale of cellulosic, fibrous and plastic casings for the processed meat and poultry industry. It engages in rack marketing, which is the supply of product through tanker trucks directly to customers located in close geographic proximity to the refinery and to customers at throughput terminals on the refined products distribution systems of Magellan and NuStar. Its customers include the automotive OEs and major distributors and retailers in the independent aftermarket. Its principal raw materials include paper and pulp, which constitute an important aspect and cost effecting factor in its operations.
