Ensign Group Inc was incorporated in 1999 in Delaware. The Company provide skilled nursing and rehabilitative care services through the operation of 119 facilities, nine home health and seven hospice operations, seven urgent care centers and a mobile x-ray and diagnostic company, located in Arizona, California, Colorado, Idaho, Iowa, Nebraska, Nevada, Oregon, Texas, Utah and Washington. Its operations, each of which strives to be the operation of choice in the community it serves, provide a broad spectrum of healthcare services including skilled nursing, assisted living, home health and hospice, mobile ancillary, and urgent care services. There facilities have a collective capacity of approximately 13,200 operational skilled nursing, assisted living and independent living beds. The Company owned 96 of our 119 facilities and operated an additional 23 facilities through long-term lease arrangements, and had options to purchase two of those 23 facilities. The skilled nursing facility acquisition added 82 operational skilled nursing beds, while the urgent care center acquisition did not have an impact on our operational bed count. The Company acquired two home health operations in Washington and Texas, two hospice operations in Arizona and California, one home health and hospice with operations in Washington, and one skilled nursing facility in Texas. The Company e owned 96 of the 119 facilities that they operated, and had purchase agreements or options to purchase two of the 23 facilities that they operated under long-term lease arrangements. The Company also has a wholly-owned captive insurance subsidiary (the Captive) that provides some claims-made coverage to the Company's operating subsidiaries for general and professional liability, as well as coverage for certain workers' compensation insurance liabilities. The Company is subject to regulatory environment within the skilled nursing industry continues to intensify in the amount and type of laws and regulations affecting it. In addition to this changing regulatory environment, federal, state and local officials are increasingly focusing their efforts on the enforcement of these laws.
