AK Steel Holding Corp is a corporation formed under the laws of Delaware on December 20, 1993 and is a producer of flat-rolled carbon, stainless and electrical steels and tubular products through its wholly-owned subsidiary, AK Steel Corporation. Its operations consist of eight steelmaking and finishing plants, two coke plants and two tube manufacturing plants across six states-Indiana, Kentucky, Michigan, Ohio, Pennsylvania and West Virginia. The Company's operations produce flat-rolled value-added carbon steels, including premium-quality coated, cold-rolled and hot-rolled carbon steel products, and specialty stainless and electrical steels that are sold in sheet and strip form, as well as carbon and stainless steel that is finished into welded steel tubing. In addition, the Company's operations include European trading companies that buy and sell steel and steel products and other materials, AK Coal Resources, Inc., which produces metallurgical coal from reserves in Pennsylvania, and a 49.9% equity interest in Magnetation LLC, a joint venture that produces iron ore concentrate from previously-mined ore reserves. The Company is a party to long-term supply contracts with Middletown Coke Company, LLC and Haverhill North Coke Company, affiliates of SunCoke Energy, Inc. to provide the Company with about 1,100,000 tons annually of metallurgical-grade lump coke and electricity co-generated from their facilities. The Company competes with domestic and foreign flat-rolled carbon, stainless and electrical steel producers (both integrated steel producers and mini-mill producers) and producers of plastics, aluminum and other materials. The Company is also facing competition from foreign-based and domestic steel producers who have expanded or restarted shutdown steel production and/or finishing facilities in the United States. The Company's business and the businesses of its customers and suppliers are subject to government oversight and regulation.
