Pinnacle Entertainment Inc a Delaware corporation, is the successor to the Hollywood Park Turf Club, which was organized in 1938. It was incorporated in 1981 under the name Hollywood Park Realty Enterprises, Inc. In 1992, it changed its name to Hollywood Park, Inc. and in February 2000, it became Pinnacle Entertainment, Inc. The Company is the owner, operator and developer of casinos and related hospitality and entertainment facilities. The Company owns 14 gaming properties in Colorado, Indiana, Iowa, Louisiana, Missouri, Mississippi, and Nevada. The Company also owns a racetrack in Ohio that is currently being re-developed into a new gaming entertainment facility and manage a racetrack in San Antonio, Texas. In addition to these properties, it owns and operates a live and televised poker tournament series. The Company operates in three segments: Midwest segment, which includes: Ameristar Council Bluffs, Ameristar East Chicago, Ameristar Kansas City, Ameristar St. Charles, Belterra Casino Resort, Belterra Park Gaming & Entertainment Center (formerly River Downs) and River City Casino; the South segment, includes: Ameristar Vicksburg, Boomtown Bossier City, Boomtown New Orleans, L'Auberge Baton Rouge and L'Auberge Lake Charles; the West segment, includes: Ameristar Black Hawk, Cactus Petes and The Horseshu. The Company's properties compete directly with other gaming properties in each state in which it operates, as well as properties in other states. It also competes for customers with other casino operators in other markets, including casinos located on Native American reservations, and other forms of gaming, such as lotteries and Internet gaming. The Company also competes with other forms of legalized gaming and entertainment such as bingo, pull-tab games, card parlors, sports books, pari-mutuel or telephonic betting on horse and dog racing, state-sponsored lotteries, VLTs, video poker terminals.
