Gildan Activewear Inc was incorporated on May 8, 1984 pursuant to the Canada Business Corporations Act under the name of Textiles Gildan Inc. The Company is a supplier of basic family apparel which includes T-shirts, fleece, sport shirts, underwear and socks. It markets its products under a portfolio of company-owned brands, including the Gildan(R), Gold Toe(R) and Anvil(R) brands and brand extensions, as well as under licensing arrangements for the Under Armour(R) and New Balance(R) brands. It distributes its products in the North American and international printwear markets and to U.S. retailers. The Company operates in two segments namely Printwear segment and Branded Apparel segment. The Branded Apparel segment designs, manufactures, sources and distributes undecorated activewear products to wholesale distributors in printwear markets in over 30 countries across North America, Europe and the Asia-Pacific region. The products sold through its Printwear segment consist mainly of undecorated or blank T-shirts, fleece and sport shirts marketed under Gildan(R)brand. The Companys activewear products are used in a variety of daily activities by individuals, including work and school uniforms and athletic team wear, and for various other purposes to convey individual, group and team identity. The Branded Apparel segment designs, manufactures, sources, and distributes branded family apparel, which includes athletic, casual and dress socks, underwear and activewear products to U.S. retailers. The Branded Apparel segment consists of socks, sold under company-owned and licensed brands, as well as select national retailers brands. The Company's competitors include apparel manufacturers such as Fruit of the Loom,Inc., Russell Corporation, Hanesbrands Inc., and smaller U.S.-based manufacturers, including Alstyle Apparel, a division of Ennis Corp., Delta Apparel Inc as well as Central American and Mexican manufacturers. It is subject to various federal, state and local environmental and occupational health and safety laws and regulations in the jurisdictions in which it operates concerning, among other things, wastewater discharges, storm water flows and solid waste disposal.
