, a leading global network of exchanges and clearing houses, today announced that it priced an underwritten public offering of $2.5 billion in new senior notes. The senior notes comprise $1.25 billion in aggregate principal amount of 2.75% Senior Notes due 2020 and $1.25 billion in aggregate principal amount of 3.70% Senior Notes due 2025. The offering is being made under a shelf registration statement and is expected to close on November 24, 2015, subject to customary closing conditions. ICE intends to use the net proceeds from the offering, together with available cash and borrowings under ICE's U.S. dollar commercial paper program, to finance the cash portion of the purchase price of Interactive Data Corporation under the terms of the merger agreement, which was announced on October 26, 2015. The joint book-running managers for the offering are Merrill Lynch, Pierce, Fenner & Smith Incorporated, Wells Fargo Securities, LLC, Mitsubishi UFJ Securities (USA), Inc. and Morgan Stanley & Co.
