MicroStrategy reported quarterly non-GAAP losses of $8.26 per share. Quarterly sales came in at $115.2 million which missed the analyst consensus estimate of $121.725 million by 5.36% and represents a 5.51% decrease year-over-year. The company now holds 214,400 bitcoins. 
As of March 31, 2024, the carrying value of MicroStrategy&#8217;s digital assets (comprised of approximately 214,278 bitcoins) was $5.074 billion, which reflects cumulative impairment losses of $2.461 billion since acquisition and an average carrying amount per bitcoin of approximately $23,680. The original cost basis and market value of the company&#8217;s bitcoin were $7.535 billion and $15.220 billion, respectively, which reflects an average cost per bitcoin of approximately $35,164 and a market price per bitcoin of $71,028.14, respectively.

Sensata Technologies Holding plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ST#NYSE">ST</a>) today announced that Jeff Cote, Chief Executive Officer and President of Sensata Technologies, has informed the Board of Directors of his intention to retire as CEO and President and step down as a member of the Sensata Board, effective April 30, 2024. The Board of Directors has appointed Martha Sullivan as Interim President and CEO and has established a CEO Search Committee to identify a new permanent CEO.

Regarding Jeff Cote's decision to retire, Sensata Chairman Andrew C. Donovitz ("Donovitz"), founder and stockholder of Biote.
The Settlement Agreement includes a mutual release of all claims relating to litigation between Donovitz and Biote; the termination of the founder advisory agreement by and between Donovitz and BioTE Medical, LLC; two year non-compete and non-solicitation agreements for Donovitz; and a voting agreement with customary terms acceptable to the Company. Additionally, Biote will repurchase all 18.4 million Biote shares beneficially held by Donovitz.

Under the terms of the Settlement Agreement, Biote will repurchase all of Donovitz's Biote Class A common units of BioTE Holdings, LLC ("Holdings Units"), shares of Class V common stock of the Company ("Class V Shares" and, together with the Holdings Units, "Paired Interests") and shares of Class A common stock of the Company ("Class A Shares") for approximately $76.9 million in the aggregate. The average price for repurchased Class A Shares, Holdings Units and Class V shares will be $4.17 per share and will occur over the following three-year schedule:

<li>Approximately 5.1 million Class A Shares and approximately 3.1 million Paired Interests were repurchased for approximately $32.2 million on April 26, 2024 (the "Closing Date");</li>
<li>Approximately 4.1 million Paired Interests will be repurchased for approximately $15.1 million on the 12-month anniversary of the Closing Date;</li>
<li>Approximately 4.1 million Paired Interests will be repurchased for approximately $19.1 million on the 24-month anniversary of the Closing Date; and</li>
<li>Approximately 2.0 million Paired Interests will be repurchased for approximately $10.5 million on the 36-month anniversary of the Closing Date.</li>

The Company plans to provide additional details concerning the anticipated financial impacts of the settlement when it reports first quarter financial results on Tuesday, May 7, 2024, after the close of the market.

Biote Announces Definitive Settlement With Founder, Company To Repurchase All Of Founder's 18.4M Shares At $4.17 Per Share

Rayonier Advanced Materials Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/RYAM#NYSE">RYAM</a>) is announcing that, effective July 2, 2024, it will suspend operations at its Temiscaming High Purity Cellulose (HPC) plant for an indefinite period. As previously communicated, the Company remains committed to operating its assets profitably.
Given current market conditions and high capital and fixed costs associated with the HPC plant, this decision will help mitigate the plant's ongoing operating losses and improve the Company's consolidated free cash flow. Today's announcement is aligned with the Company's focus on improving its balance sheet, leverage position and overall financial performance toward execution of its long-term growth strategy.
The suspension, which will be carried out in a safe and environmentally sound manner, will result in a reduction of RYAM's annual global HPC production. The Temiscaming HPC facility has an annual production capacity of approximately 150,000 metric tons, with roughly 30 percent historically dedicated to specialty cellulose materials. The Company will be working directly with its customers to support their specialty cellulose needs in both the short- and long-term. Today's announcement will result in approximately 275 layoffs.
"Persistent market weakness, uncertain availability of affordable wood fiber, and high capital and fixed costs have posed significant challenges for the Temiscaming HPC plant," said De Lyle Bloomquist, President and Chief Executive Officer. "This decision, which we do not take lightly, is made only after a rigorous strategic review in which multiple alternatives were thoroughly explored. We are mindful of the impact this will have on affected employees and will take appropriate measures to assist these employees in keeping with the collective agreement, RYAM values and applicable law."
This decision does not affect RYAM's paperboard and high-yield pulp plants located adjacent to the Temiscaming HPC plant. These two plants, which are part of an ongoing sales process announced last October, remain competitive and will continue to operate at full capacity.
