On September 9, 2014, Home Depot confirmed that point-of-sale payment systems were hacked at approximately 2,200 United States and Canadian stores in a cyber attack that may have started as early as April 2014.  It has been reported that the breach is likely the product of the same malware used in a widely-publicized breach of Target Corp. several months before.

Our investigation concerns, among other things, whether the Home Depot board of directors (the "Board") fulfilled its fiduciary duties in adequately protecting its customers' private financial information from theft.
