Cannell complained that, among other concerns, Build-A-Bear allows its Chief Executive Officer to approve or reject candidates for membership on the Board, thus potentially interfering with its independence and ability to oversee the Company's management and executive compensation. Then on May 3, 2016, Build-A-Bear issued a press release in which it announced, among other things, that the Board of Directors had authorized an "exploration of a full range of strategic alternatives."
