Cracker Barrel Announces Results of Annual Meeting of Shareholders

LEBANON, Tenn.--(BUSINESS WIRE)--

Cracker Barrel Old Country Store, Inc. ("Cracker Barrel" or the "Company") CBRL today announced voting results provided by the Company's proxy solicitor from its 2015 Annual Meeting of Shareholders.

At the meeting, the majority of shareholders voted in favor of all five proposals, including:

1. The re-election of all nine directors;
2. The approval of the Company's shareholder rights plan;
3. The approval on an advisory basis of the compensation of the Company's named executive officers;
4. The re-approval of the material terms of the performance goals under the 2010 Omnibus Stock and Incentive Plan; and
5. The ratification of the appointment of Deloitte & Touche LLP as the Company's independent registered public accounting firm for the 2016 fiscal year.

The Company intends to submit an 8-K filing to the SEC detailing the final results.
