KEYW Announces Pricing of IPO at $10 per Share

The KEYW Holding Corporation

announces the pricing of its initial public offering of 9,100,000 shares of its common stock at a price to the public of $10.00 per share. The shares will begin trading on Friday, October 1, 2010 on the NASDAQ Global Market under the ticker symbol "KEYW". Of the shares in the offering, 8,274,090 are being offered by the Company and 825,910 are being offered by selling stockholders. In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional 1,365,000 shares of common stock to cover over-allotments, if any. KEYW will use the proceeds from the offering to repay debt and for working capital, capital expenditures and general corporate purposes, including potential acquisitions.
