has reviewed the letter and presentation issued by Elliott Management Corporation on 9 November regarding Dialog's agreement to acquire Atmel Corporation

and offers the following observations to its shareholders: 1. Dialog continues to strongly support this strategically important transaction. As described on 2 November in Dialog's press release reaffirming the Board's unanimous support for the acquisition, Dialog continues to believe this transaction is in the best interests of its shareholders. The transaction diversifies Dialog's existing customer concentration, increases Dialog's addressable market size, positions Dialog to capitalise on the large and growing Internet of Things (IoT)
