The following are the M&A deals, rumors and chatter circulating on Wall Street for Monday November 2, 2015: TreeHouse Foods to Acquire ConAgra's Private Brands Business for $2.7B The Deal:
TreeHouse Foods THS announced Monday, that it has agreed to acquire ConAgra Foods' CAG private brands operations in a deal valued at $2.7 billion. Closing is expected in Q1 of 2016. ConAgra shares rose $0.36 Monday, closing at $40.91. Treehouse Foods fell 5.5% to close at $80.84. Visa Announces Acquires Visa Europe for Up to €21.2B The Deal:
Visa Inc. V and Visa Europe Ltd. announced Monday, an agreement for Visa Inc. to acquire Visa Europe for €16.5 billion, with the potential for an additional earn-out of up to €4.7 billion payable following the fourth anniversary of closing, for a total value of up to €21.2 billion. The upfront consideration includes €11.5 billion in cash and preferred stock convertible into Visa Inc. class A common stock worth €5 billion. The transaction is expected to close in Visa Inc.'s Q3 of FY. Visa shares fell 3% Monday to close at $75.22. Shire to Acquire Dyax Corp for $37.30/Share in Cash, $4.00/Share CVR The Deal:
Shire plc SHPG and Dyax Corp. DYAX announced Monday, that Shire will acquire Dyax for $37.30 in cash per Dyax share, for a total aggregate upfront consideration of approximately $5.9 billion. Dyax shareholders also will receive a contingent value right (CVR) that will pay $4.00 in cash per Dyax share upon approval of DX-2930 in HAE. The deal is expected to close in H1 of 2016. Dyax shares rose 28% Monday to close at $35.35. Team Industrial to Acquire Furmanite for $335M in All-Stock Deal The Deal:
Team, Inc. TISI and Furmanite Corporation FRM announced Monday, that the Boards of Directors of both companies have unanimously approved a definitive merger agreement under which Team will acquire Furmanite in an all-stock transaction valued at approximately $335 million, including the assumption of debt. Furmanite shareholders will receive 0.215 shares of Team common stock for each share of Furmanite common stock they own. The deal is expected to close in Q1 of 2016. Furmanite shares rose 6.5% Monday, closing at $7.40. AmSurg Raises Offer for TeamHealth, Adding $4/TMH Share in Cash The Offer:
AmSurg Corp. AMSG announced Monday, that it has raised its proposal to combine with Team Health Holdings, Inc. TMH, adding $4.00 in cash per TeamHealth share. Amsurg offer is now 0.768 AmSurg shares plus $15.49 in cash for each TeamHealth share, for a total value of $69.32 per TeamHealth share, and total enterprise value of $7.6 billion, based on AmSurg's closing stock price Friday, October 30. Team Health confirmed that it received a revised, unsolicited proposal from AmSurg Corp., indicating that it is the same proposal first presented by AmSurg to TeamHealth on October 24, 2015. The TeamHealth Board of Directors concluded that the revised offer was not in the best interest of TeamHealth and its stockholders. This decision was orally communicated to AmSurg on October 30th. Team Health shares fell 3.77% Monday, closing at $57.42. Constant Contact to be Acquired by Endurance International for $32/Share The Deal:
Endurance International Group Holdings, Inc. EIGI, and Constant Contact, Inc. CTCT announced Monday, that the companies have agreed that Endurance International will acquire Constant Contact for $32.00 per share in cash, or $1.1 billion. The deal is expected to close during Q1 of 2016. Constant Contact shares rose 22% Monday, closing at $31.83. TDK to Buy Hutchinson Tech for $3.62/Share Plus Added Consideration of Up to $0.38/Share The Deal:
TDK Corporation and Hutchinson Technology Incorporated HTCH announced Monday, that they have an agreement, under which TDK will acquire all of the outstanding shares of common stock of HTI for $3.62 per share, plus additional consideration of up to $0.38 per share, depending on the level of cash (subject to certain adjustments) less any outstanding borrowings on HTI's revolving line of credit ("net cash") held by HTI as of the last day of the fiscal month immediately preceding the closing date. The deal is expected to close in Q1 of 2016. Hutchinson Technology shares rose 102% Monday, closing at $3.54. Pamplona Capital Management to Acquire MedAssets for $31.35/Share in Cash The Deal:
MedAssets, Inc. MDAS and Pamplona Capital Management announced Monday, that Pamplona will acquire MedAssets for $31.35 per share in cash, for a total enterprise value of approximately $2.7 billion. The deal is subject to approval by MedAssets shareholders. MedAssets shares rose 31% Monday, closing at $31.00.
