The following are the M&A deals, rumors and chatter circulating on Wall Street for Monday October 26, 2015: Ctrip Announces Share Exchange Transaction with Baidu The Deal:
Ctrip.com International, Ltd. CTRP announced Monday, that the company has completed a share exchange transaction with Baidu, Inc. BIDU, under which Baidu has exchanged 178,702,519 Class A ordinary shares[1] and 11,450,000 Class B ordinary shares of Qunar Cayman Islands Limited QUNR for 11,488,381 newly-issued ordinary shares of Ctrip, at a share exchange ratio of 0.725 Ctrip ADSs per Qunar ADS. Baidu will own ordinary shares of Ctrip representing approximately 25% of Ctrip's aggregate voting interest, and Ctrip will own ordinary shares of Qunar representing approximately 45% of Qunar's aggregate voting interest‎. Qunar closed at $42.65, up almost 8%, Ctrip.com shares rose 22% and Bidu shares rose 5.5%. Pacific Biosciences May be M&A Target for Roche The Rumor:
Pacific Biosciences of California, Inc. PACB could be a takeover target of Roche Holding AG RHHBY, according to Betaville's Ben Harrington. Roche announced the acquisition of GeneWEAVE back in August for $190M upfront and up to $235M in contingent product-related milestones. Pacific Biosciences closed at $6.98 Monday, down 10.74%. Intel Acquires Saffron The Deal:
Intel has acquired cognitive computing platform provide, Saffron. Terms were not disclosed. Intel closed at $34.59 Monday, down $0.31. Western Bids $17.50/Unit in Cash, 0.2266 Shares of WNR Stock for Northern Tier Energy The Offer:
Western Refining, Inc. WNR announced Monday, a proposal to acquire all of NTI's (outstanding publicly-held common units for $17.50 in cash and 0.2266 of a share of Western common stock. Northern Tier Energy confirmed receipt of the proposal and said the Conflicts Committee would consider and respond to the proposal. The proposed deal is subject to the negotiation and execution of a definitive agreement and must be approved by the NTI Conflicts Committee, Western's board of directors and the common unitholders of NTI. Northern Tier Energy closed at $25.98 Monday, up more than 7%.
