The following are the M&A deals, rumors and chatter circulating on Wall Street for Friday February 6 through Sunday February 8, 2015: Motorola Solutions Explores Potential Sale The Rumor:
Motorola Solutions Inc.MSI, is considering a sale of the company, according to sources, as reported by Bloomberg. Potential buyers include Raytheon Co. RTN, Honeywell International Inc. HON and General Dynamics Corp. GD, said one of the people, asking not to be named because the information is confidential. Motorola Solutions was the result of a spinoff of the original Motorola company in 2011, on pressure from investor Carl Icahn. Motorola Mobility was sold to Google Inc. GOOG in 2011 for around $12.5 billion. In 2014, Google sold the unit to Leonovo Group Limited LNVGY for about $2.91 billion. A spokesperson for Motorola Solutions declined comment on the report. Motorola Solutions shares lost Friday, closing at $64.66, a gain of 1%. CTPartners Confirms $7/Share Bid from DHR The Offer:
CTPartners Executive Search Inc. (NYSE MKT: CTP), confirmed a New York Post report Friday, that it has received an unsolicited, non-binding proposal from DHR International to acquire all of the outstanding shares of the company for $7.00 per share. CTPartner's Board of Directors will carefully review and consider the offer, along with any other proposals it may receive. CTPartners shares gained 2% Friday, closing at $6.22. Harris Corporation to Acquire Exelis for $23.75/Share in Cash, Stock The Deal:
Harris Corporation HRS and Exelis, Inc. XLS announced Friday, that Harris will acquire Exelis in a cash and stock transaction valued at $23.75 per share, for an enterprise value of about $4.75 billion. Exelis shareholders will receive $16.625 in cash and 0.1025 of a share of Harris common stock, for each share of Exelis common stock. Harris shareholders will own approximately 85% of the combined company folowing the close, while Exelis shareholders will own approximately 15%. The deal is expected to close in June 2015. Exelis shares gained 36% Friday, closing at $24.13.
