(the "Company") today announced that it has priced an underwritten public offering of 4,750,000 shares of common stock at a price of $38.16 per share. As part of the offering, the Company granted the underwriters a 30-day option to purchase up to 712,500 additional shares of common stock. The offering is expected to close on November 14, 2014, subject to the satisfaction of customary closing conditions. BofA Merrill Lynch, Wells Fargo Securities and Morgan Stanley will act as joint book-running managers for the offering. Citigroup, RBC Capital Markets and Raymond James are acting as co-lead managers for the offering. Stifel, BB&T Capital Markets, Capital One Securities, PNC Capital Markets LLC, SunTrust Robinson Humphrey and Piper Jaffray are acting as senior co-managers for the offering. Finally, Baird, FBR and Ladenburg Thalmann are acting as co-managers for the offering. The Company intends to use the net proceeds from this offering to repay outstanding indebtedness under its credit facility. In addition, the Company intends to use the remainder of the net proceeds from this offering, if any, to fund future property acquisitions and for general corporate purposes.
