(the “Company”) announced today that T-Mobile USA, Inc. (“T-Mobile USA”), a wholly-owned subsidiary, has agreed to sell $500,000,000 aggregate principal amount of its 5.250% Senior Notes due 2018 (the “Notes”) in a private offering. The offering is scheduled to close on August 21, 2013, subject to satisfaction of customary closing conditions. T-Mobile USA intends to use the net proceeds from this private offering for general corporate purposes. The Notes were offered only to qualified institutional buyers in reliance on Rule 144A and in offshore transactions pursuant to Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States except under an effective registration statement or an applicable exemption from registration requirements or in a transaction not subject to the registration requirements of the Securities Act or any state securities laws.
