The following are the M&A deals, rumors and chatter circulating on Wall Street for Monday July 1, 2013: Kohlberg to Acquire Steinway for $35/Share The Deal:
Steinway Musical Instruments LVB, announced Monday that it has agreed to be acquired by an affiliate of private equity firm Kohlberg & Company in a transaction valued at approximately $438 million. Under the terms of the agreement, an affiliate of Kohlberg will commence a tender offer to acquire all of the outstanding shares of the Company's common stock for $35.00 per share in cash. The deal is expected to close in Q3 2013. Steinway Musical Instruments closed at $35.28 Monday, a gain of 16% on 42 times average volume. Hearing Chatter of BHP Bid for Peabody Energy The Rumor:
Shares of Peabody Energy BTU rose Monday morning on renewed chatter of a possible bid from BHP Billiton BHP. BHP is rumored to be offering $30 per share for Peabody and has acquired Goldman Sachs as an advisor, according to sources. A spokesperson for Peabody Energy said they had not seen the report and referred to it as speculation. A BHP spokesperson was not available for comment. Carl Icahn and Warren Buffett have been mentioned in the past as potential investors. Peabody Energy closed at $14.71 Monday, a gain of $0.07 on average volume. Onyx Pharmaceuticals Shares Soar on Amgen $120/Share Bid The Offer:
Shares of Onyx Pharmaceuticals ONXX surged more than 50% Monday on an offer from Amgen AMGN of $120 per share. On Sunday, Amgen confirmed a rumor which had surfaced late Friday. Onyx' Board confirmed receipt of the offer, saying it "significantly undervalued Onyx and its prospects, and was not in the best interest of Onyx or its shareholders." Analysts believe a deal could be done in the $140 to $150 range. A spokesperson for Amgen told Benzinga they were not commenting on the prospect of submitting a higher offer for Onyx. A Roche RHHBY spokesperson declined comment on their potential interest in entering the bidding process. Onyx Pharmaceuticals closed at $131.33 Monday, a gain of 51% on 16 times average volume. Nokia to Acquire Siemens' Stake in NSN for EUR 1.7B The Deal:
Nokia NOK and Siemens SI announced Monday that they agreed that Nokia acquires Siemens' entire 50% stake in their joint venture, Nokia Siemens Networks for EUR 1.7 billion. The transaction is expected to close during Q3 2013. Nokia Corporation closed at $3.86 Monday, a gain of 3% on average volume.
