The following are the M&A deals, rumors and chatter circulating on Wall Street for Wednesday May 29, 2013: MidAmerican Energy to Acquire NV Energy for $23.75/Share The Deal:
MidAmerican Energy Holdings, a subsidiary of Berkshire Hathaway BRK, and NV Energy NVE announced Wednesday that they have reached a definitive acquisition agreement whereby MidAmerican will acquire NV Energy for $23.75 per share in cash. The transaction has an enterprise value of approximately $10 billion and is expected to close in Q1 2014. NV Energy closed at $19.28 Wednesday and traded at $23.75 after-hours. Shuanghui to Acquire Smithfield Foods for $34.00/Share The Deal:
Smithfield Foods SFD and Shuanghui International Holdings announced Wednesday that they have entered into a definitive merger agreement that values Smithfield at approximately $7.1 billion. Under the terms of the agreement, Shuanghui will acquire all of the outstanding shares of Smithfield for $34.00 per share in cash. The transaction is expected to close in the second half of 2013. Later in the day, it was reported by Bloomberg that CP Foods and JBS had considered offers for Smithfield. A spokesperson for JPS/Pilgrim's Pride PPC declined comment on the report. Smithfield Foods closed at $33.35 Wednesday, a gain of 28% on 35 times average volume. Report IBM, Oracle May have Interest in Acquiring Jive Software The Rumor:
Shares of Jive Software JIVE traded higher early Wednesday, on a report from Bloomberg that IBM IBM and Oracle ORCL are potential buyers for the provider of provider of social business solutions. Last week, it was reported that SAP SAP had decided not to pursue Jive, though a person close to the situation indicated they never had a serious interest. A spokesperson for Oracle declined comment on today's rumor. Spokespersons for Jive and IBM were not available for comment. Jive Software closed at $16.88 Wednesday, a gain of 2.5% on 2.5 higher than average volume. Cisco to Acquire JouleX for $107M The Deal:
Cisco CSCO announced Wednesday its intent to acquire privately held JouleX, a provider of enterprise IT energy management solutions for network-attached and data center assets. Under the terms of the agreement, Cisco will pay approximately $107 million in cash for JouleX. The acquisition is expected to close in Q4 2013. Cisco closed at $24.12 Wednesday, a gain of almost 1% on average volume. Facebook Talks to Acquire Waze Reportedly Ended The Rumor:
Facebook FB is reportedly no longer in talks to acquire Israeli social mapping startup Waze, according to AllThingsD. A deal could have potentially been valued at $1 billion. A spokesperson for Facebook declined comment on the status of the Waze talks. Facebook closed at $23.32 Wednesday, a loss of 3% on 1.5 times average volume.
