WhiteHorse Finance Announces Closing of Initial Public Offering

WhiteHorse Finance, Inc. (the “Company”) WHF announced today the closing of its initial public offering of 6,666,667 shares of its common stock at a public offering price of $15.00 per share, raising $100 million in gross proceeds. In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional 1,000,000 shares of common stock. The Company's common stock began trading on The NASDAQ Global Select Market under the symbol “WHF” on December 5, 2012. Deutsche Bank Securities Inc., J.P. Morgan Securities LLC, Citigroup Global Markets Inc. and Barclays Capital Inc. acted as joint book-running managers. Robert W. Baird & Co. Incorporated, RBC Capital Markets, LLC and Stifel, Nicolaus & Company, Incorporated acted as co-lead managers. BB&T Capital Markets, a division of Scott & Stringfellow, LLC, Sterne, Agee & Leach, Inc., Wunderlich Securities, Inc. and Natixis Securities Americas LLC acted as co-managers. The shares were delivered to investors today. The Company plans to invest the net proceeds of the offering in accordance with its investment objective, which is to generate attractive risk-adjusted returns for investors by originating loans to privately held small-cap companies across a broad range of industries, and for general corporate purposes.
