The following are the M&A deals, rumors and chatter circulating on Wall Street for Monday June 8, 2015:Rumor Circulating of Merck Bid for CelgeneThe Rumor:
Shares of Celgene Corporation (NASDAQ: CELG) spiked higher, Monday, on unconfirmed market chatter of a potential bid from Merck & Co (NYSE: MRK). The rumored offer is between $131 and $133, according to sources. Celgene had a market cap of $88 billion, following the rumor, while Merck's cap is about double that.Spokespersons for Celgene and Merck did not respond to requests for comment.Celgene shares gained $0.29 Monday, to close at $$111.01.Cypress Fails to Finalize Merger Agreement with ISSIThe Failed Merger:
Integrated Silicon Solution, Inc. (NASDAQ: ISSI) announced Monday, that Cypress Semiconductor (NASDAQ: CY) has failed to finalize a merger agreement by the deadline of June 7, 2015 imposed by Cypress. ISSI says Cypress received the negotiated draft agreement from ISSI on Friday, June 5, 2015. Despite the merger agreement being nearly fully negotiated, ISSI believes a transaction with Cypress presents significant antitrust risks in the U.S. and Germany. Cypress offered to acquire ISSI for $20.25 per share on May 15.Integrated Silicon Solution shares fell $0.38 Monday, closing at $20.35.Jiayuan.com Receives Amended 'Going Private' Proposal of $7.20/ADSThe Going Private Proposal:
Jiayuan.com International Ltd. (NASDAQ: DATE) announced Monday, that the special committee of the company's board of directors, has an amended 'going private' proposal from Vast Profit of $7.20 per ADS, which is an increase from their previous offer of $5.37 per ADS.The special committee said it is evaluating this and other proposals it has received, and that no decisions have been made.Jiayuan.com shares lost 5.5% Monday, closing at $7.39Report Atmel Considering Options Including Potential SaleThe Rumor:
Shares of Atmel (NASDAQ: ATML) soared late Monday, on a report from Reuters, that the maker of microcontrollers is exploring a potential sale of the company, along with other strategic alternatives, according to sources. Atmel is reportedly working with Qatalyst Partners as an advisor on the possible sale.Spokespersons for Atmel and Qatalyst did not immediately respond to Reuters requests for comment.There was unusual activity reported by Benzinga in the Atmel November $11 call last week. That call trade up 87% immediately following the Reuters report. Atmel shares gained 3.5% Monday, closing at $9.75. Sungy Mobile Enters into Agreement for 'Going Private' Transaction of $4.90/ADSThe Going Private Transaction:
Sungy Mobile Limited (NASDAQ: GOMO) announced Monday, that it has entered into an agreement and plan of merger with Sunflower Parent Limited, IDG, CBC Mobile Venture Limited and Sunflower Merger Sub Limited. Under the agreement, at the effective time of the merger, each of the Co's class A ordinary shares and class B ordinary shares issued and outstanding immediately prior to the effective time of the Merger will be cancelled and cease to exist in exchange for the right to receive US$0.81667 in cash without interest, and each American Depositary Share of the Company, which represents six class A ordinary shares, will be cancelled in exchange for the right to receive $4.90 in cash without interestSungy Mobile shares lost more than 3% Monday, closing at $4.61. Syngenta Rejects Latest Monsanto Proposal, Including $2B Reverse Break-up FeeThe Rejection:
Syngenta (NYSE: SYT) confirmed Monday, that it received a second letter from Monsanto (NYSE: MON) which essentially repeated their first proposal of April 18 of CHF449 in cash. Monsanto added a $2 billion reverse break-up fee, which Syngenta described at "wholly inadequate". Syngenta again rejected the proposal.Syngenta shares lost 1.1.72% Monday, closing at $86.81, while Monsanto gained $0.12, to end the day at $113.92
