Beijing Jinxin Rongda Investment Management Co., Ltd. ("Beijing Jinxin"), a subsidiary of Tsinghua Holdings Co. Ltd., informed the Company that Gansu Huangtai Wine-Marketing Industry Co., Ltd. is not able to proceed further with the proposed transaction as referenced in the press release dated February 22, 2016 in connection with the Company's divestment of FL Mobile Inc., NQ Mobile's majority owned Cayman Islands subsidiary (the "FL Mobile Divestment"). Beijing Jinxin remains committed to the binding framework agreement announced on August 26, 2015 and will work with the company on the completion of that transaction.
