Comstock Resources, Inc. ("Comstock" or the"Company") (NYSE: CRK) announced today that it intends to offer $700 millionin aggregate principal amount of senior secured notes due 2020 in a privateoffering, subject to market and other conditions. The notes will be guaranteedby each of Comstock's subsidiaries. The notes and the guarantees will besecured by a first priority lien on substantially all of the Company's and itssubsidiaries'y'apos;s and its subsidiaries'apos; assets, subject to paymentpriority in favor of the lenders under a new credit facility described below.Comstock intends to use the net proceeds of the proposed offering to retireits bank credit facility, with remaining proceeds for general corporatepurposes. In connection with thoffering, the Company intends to enter into a new $50 million bank revolvingcredit facility.The notes will be offered in the United States only to qualified institutionalbuyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the"Securities Act"), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.
