Under the terms of the transaction, Keynote shareholders will receive $20.00 for each share of Keynote stock they own. The transaction has a total approximate value of $395 million. The claims concern whether the Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before agreeing to enter into the transaction, and whether Thoma Bravo is underpaying for Keynote, thus unlawfully harming Keynote shareholders.
