Resolute Energy Prices 16.25M Share Common Stock Offering at $8.00/Share

Resolute Energy (NYSE: REN) announced today the pricing of a previously announced registered underwritten public offering of 13,250,000 shares of common stock offered by the Company and 3,000,000 shares of common stock offered by certain selling stockholders.  All of the shares will be sold at a price per share to the public of $8.00.  The selling stockholders have granted to the underwriters a 30-day option to purchase up to an additional 2,437,500 shares solely to cover over-allotments, if any, on the same terms and conditions.  The Company intends to use its portion of the net proceeds from the offering to repay outstanding balances under its revolving credit facility.  The Company expects the offering to close on May 14, 2013, subject to satisfaction of customary closing conditions. Barclays, BMO Capital Markets, Citigroup, Raymond James and Wells Fargo Securities will act as joint book-runners for the offering, Johnson Rice & Company L.L.C. and Capital One Southcoast will act as senior co-managers for the offering and Global Hunter Securities, Scotiabank / Howard Weil, Ladenburg Thalmann & Co.
