Atlas Pipeline Partners (NYSE: APL) ("APL", "Atlas Pipeline", or the "Partnership") and its subsidiary, Atlas Pipeline Finance Corporation, announced today that it has priced a private offering of $400 million aggregate principal amount of 4.75% Senior Notes due 2021. The aggregate principal amount was increased from the previously announced aggregate principal amount of $325 million. The notes were priced at par and the Partnership intends to use the net proceeds from this offering of approximately $392 million to reduce obligations under its revolving credit facility, and for general partnership purposes. The sale of the notes is expected to settle on May 10, 2013, subject to customary closing conditions.The notes will not be registered under the Securities Act of 1933 or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
