News Corporation (NASDAQ: NWS) today announced that thenew News Corporation filed an amendment to its Form 10 Registration Statementwith the U.S. Securities and Exchange Commission (SEC). The filing is inconnection with the Company's previously-announced intention to separate itsbusinesses into two independent, publicly-traded companies. Today's filingbuilds on the initial Form 10 Registration Statement, filed with the SEC onDecember 21, 2012.The Form 10 has been amended to provide additional financial information aboutthe new News Corporation, including its capital structure and pro-formacombined financials. The new News Corporation will comprise a range ofmarket-leading brands in news and information services, integrated marketingservices, digital real estate services, book publishing, and digitaleducation, as well as sports programming and pay-TV distribution in Australia.“The new News Corporation's strong balance sheet will provide the Company withfull financial flexibility to pursue its strategic agenda, which is to furtherdevelop and expand the power of its market-leading brands over a myriad ofplatforms,” said Rupert Murdoch, Chairman and CEO of News Corporation. “Webelieve the new News Corporation's strong balance sheet, along with itsdiversified revenue base, will be key competitive assets that will allow thecompany to lead in innovation and the creation of long term shareholdervalue.”The Form 10 is available on the SEC's website at www.sec.gov and athttp://www.newscorp.com/investor. In addition, News Corporation filed todaywith the SEC a revised preliminary proxy statement regarding a meeting of itsstockholders to consider amendments to the Company's charter which will enablethe consummation of the separation.
