Oxford Lane Capital Corp. Announces Non-Transferable Rights Offering $14.50 per Share

Oxford Lane Capital Corp. (the "Company") (NASDAQ: OXLC) announced today the commencement of a non-transferable rights offering to purchase shares of common stock of the Company (the "Offering"). The Company will issue non-transferable rights to subscribe for up to 2,522,077 shares of the Company's common stock to its stockholders of record ("Record Date Stockholders") on January18, 2013 (the "Record Date"). Record Date Stockholders will receive one non-transferable right for each outstanding share of common stock owned on the Record Date. The rights entitle the holders to purchase one new share of common stock for every two rights held. The subscription price for the common shares offered in the Offering will be $14.50 per share. The Offering will expire on February 15, 2013 at 5:00 p.m., New York City time, unless the Offering is extended. The rights are non-transferable and will not be listed for trading on the NASDAQ Global Select Market or any other stock exchange. The rights may not be purchased or sold and there will not be any market for trading the rights. The shares of common stock to be issued pursuant to the Offering will be listed for trading on the NASDAQ Global Select Market under the symbol "OXLC." Record Date Stockholders who fully exercise all rights issued to them are entitled to subscribe for additional shares of the Company's common stock which were not subscribed for by other Record Date Stockholders.
