CVR Energy, Inc. (NYSE: CVI), a refiner and marketer of petroleum fuels and a majority owner of CVR Partners, LP (NYSE: UAN), a nitrogen fertilizer producer, today announced that it has received an inquiry regarding a short form merger of CVR with an affiliate of Icahn Enterprises LP under the April 18, 2012, agreement between CVR and Icahn. CVR stated in that Icahn Enterprises did not receive 90 percent of CVR common stock relating to the subsequent offering period of the Icahn tender offer, there will not be a short form merger between CVR and Icahn Enterprises as a result of the April 18 agreement. No short form merger is contemplated at this time.
