Oak Hill Capital Partners, L.P. andOak Hill Capital Management Partners, L.P. (collectively, the "Oak HillPartnerships") informed ExlService Holdings, Inc. (the "Company") that eachOak Hill Partnership distributed all of its remaining equity interest in theCompany to its partners, or 5,542,504 shares of common stock of the Company inthe aggregate (the "Distribution"). The Oak Hill Partnerships further advisedthe Company that certain of their partners who are unaffiliated with theCompany and the general partner of the Oak Hill Partnerships, sold 2,115,470of the shares of EXL common stock received in the Distribution in a blocktrade. The partners who hold the remaining 3,427,034 shares of EXL commonstock received in the Distribution (including all of the partners who areaffiliated with the general partner of the Oak Hill Partnerships) have electedto not participate in a sale at this time and will hold the shares for atleast 45 days following the date of the Distribution.
