DTS to Acquire SRS Labs in Cash-and-Stock TransactionThe Deal

announced Tuesday that they have entered into a definitive agreement under which DTS will acquire all outstanding shares of SRS Labs in a cash-and-stock transaction valued at $9.50 per share, or a total of approximately $148 million in aggregate equity value, including acquired net cash of approximately $38 million as of December 31, 2011. The consideration represents a premium of 38% per share over SRS Labs' stock price as of the close of trading on April 16, 2012. Under the terms of the agreement, the cash and stock components will each equal 50% of the aggregate consideration paid by DTS for SRS Labs' outstanding shares. The DTS common stock to be issued in the transaction was valued at $30.52 per share, the closing price per share of DTS common stock on April 12, 2012. All SRS Labs options and restricted stock units will fully vest immediately prior to and be canceled upon the closing of the transaction, and the holders thereof will be entitled to receive the $9.50 price per share (less the exercise price of any option) payable in cash. SRS Labs closed at $9.39 Tuesday, a gain of 36.88% on 49 times the average daily volume.
3D Systems Acquires Paramount IndustriesThe Deal

announced today that it has acquired Paramount Industries, one of the world's most experienced direct manufacturing and product development solutions providers for aerospace and medical device applications; from complete design-to-manufacturing services to the production of certified end-use parts and products. 3D Systems plans to integrate Paramount's state-of-the-art manufacturing facilities and advanced tooling and assembly operations with its growing on-demand direct manufacturing services. Paramount Industries maintains AS9100C and ISO 9001:2008 certifications along with an ITAR registration. 3D Systems Corp closed at $27.60 Tuesday, a gain of 5.02% on twice the average daily volume.
CL King Says Bard Worth $162 Per Share in LBOThe Note

is worth $162 per share in an LBO. A spokesperson for Bard was not available for comment. Bard closed at $98.02 Tuesday, a gain of 2.24% on almost twice the average daily volume.

reported that Molycorp could get $60 per share in a buyout. A spokesperson for Molycorp would not comment on the rumor. A Rio Tinto spokesperson was not available for comment. Molycorp closed at $32.11 Tuesday, a gain of 1.36% on half the average daily volume.
